The organization has amended its bylaws effective november 12, 2013 to reflect that for purposes of section 601 of the not-for-profit corporation law of new york, the corporation shall have no members.

Form 990, Part VI, Section B, Line 11

Clay art center inc. Has its form 990 prepared by an outside accounting firm and has established the following review process to ensure that the information reported is complete and accurate. When the form 990 has been prepared, reviewed by management and is ready to be filed with the internal revenue service, it is electronically sent to the board members of the organization for any comments. Any comments are then grouped, summarized and provided to the outside accountants. Each issue is documented and addressed until the return is finalized and approved for filing.

Form 990, Part VI, Section B, Line 12C

All officers, directors, and employees annually shall complete cac annual conflict of interest disclosure statement. In the interim between the annual submission of disclosure statements, it is the responsibility of each officer, director and employee to make amendments to his or her disclosure statement if events or circumstances have changed in a manner that causes his or her most recent disclosure statement to become incomplete or inaccurate. It shall be the responsibility of cac's principal financial officer to assure that these statements are timely executed and submitted, and to keep a file of those statements. In addition, it shall be the responsiblity of the cac's principal financial officer to bring to the attention of the audit committee of the cac's board any actually or apparent conflicts of interest that comes to his or her attention in any way. Should a conflict of interest arise, the officer or director would be recused from voting.

Form 990, Part VI, Section B, Line 15A

The executive director is evaluated annually. It is done by the executive committee comprising of the officers of the board of directors. It is the only position that reports to and is reviewed directly by the bod. The last performance evaluation was undertaken in august 2014. All officers of the board were present and reviewed the ed's performance based on the current job description and input of key constituents who interact with and understand the performance of the ed. Comparability data of similar sized local arts non-profits was used to determine salary action. Ed was already a employee of the organization for 5 years and was promoted to current ed position november 2012. No independent persons were involved in the process. After deliberations and discussions at the executive committee level, the results were shared at the following full board meeting and a vote of approval to increase salary on anniversary date was noted in the minutes.

The organization makes its form 990 available for public inspection as required under section 6104 of the internal revenue code. The return is posted on guidestar.org and other similar types of websites. In addition, the financial statements, conflict of interest policy, articles of incorporation, form 990, form 1023, and by-laws are also available upon written request or by calling the organization directly.

The center recognizes the effect of income tax positions only if those positions are more likely than not to be sustained. Management has determined that the center had no uncertain tax positions that would require financial statement recognition or disclosure. The center is no longer subject to examination by applicable taxing jurisdictions for periods prior to august 31, 2011.

THE CENTER STUDIOS ARE A PLACE WHERE CREATIVITY AND COMMUNITY SPIRIT FLOURISHES. ALL ARTISTS MUST DEMONSTRATE THEIR COMMITMENT TO ASSIST WITH THE EDUCATIONAL PROGRAMS AND OTHER STUDIO CHORES. THE STUDIOS ARE WELL-EQUIPPED WITH ELECTRIC WHEELS, EXTRUDERS, SLAB ROLLERS, PUG MILLS, ELECTRIC AND GAS KILNS AND A COMMON, WELL-STOCKED GLAZE AREA. EACH ARTIST HAS UNLIMITED ACCESS TO THE CENTER FACILITIES.RESIDENCY PROGRAMTHE ARTIST-IN RESIDENCY PROGRAM BEGINS EACH SEPTEMBER AND IS AWARDED ANNUALLY TO TWO BACHELOR AND MASTERS OF FINE ARTS (BFA/MFA) GRADUATES. IT IS DESIGNED FOR EMERGING ARTISTS WHO NEED TIME AND SPACE TO DEVELOP THEIR VOICE. THEY GAIN INVALUABLE EXPERIENCE TEACHING CLASSES AND CONTRIBUTE THEIR TECHNICAL KNOWLEDGE AND EXPERTISE BY MANAGING MANY JOBS AT THE STUDIO.
