“The association is owned by its member entities as defined within its bylaws. No part of the income or assets of the association shall inure to the benefit or be distributable to its directors, officers, members or other private persons upon the dissolution of the organization. Assets shall be distributed for one or more exempt purposes within the meaning of irc secion 501(c)(6).”

“Each member shall designate and deliver to the wcda office, to the attention of the wcda executive director, the name of an individual (member representative) who shall represent the member in all respects and matters related to the wcda, including, but not limited to: being eligible to be nominated for a board position after one year of active participation; receiving all meeting notices as defined within these bylaws on behalf of the member; attending all annual and special membership meetings and voting on behalf of the member; being included in wcda correspondence.”

“The form 990 is reviewed by the executive director and operations manager and other related staff to answer questions and to ensure accuracy of reporting. Once this process is completed, the treasurer, president and executive committee review the form 990.”

“The association's antitrust attorney reviews the compliance requirements with attendees prior to all meetings and telephone conferences. The attorney attends each meeting to esnure compliance.”

“The board of director's executive committee reviews and approves the association's contracts for professional association operations and financial management services.”

“Wdbc makes its governing documents, conflict of interest policy, anti-trust policy and financial statements available to the public upon request.”

“The purpose of the wcda, which directly involves services in the water industry utilizing forms of collaborative project delivery such as construction management at-risk, design-build, design-build-operate, and public-private partnerships (collectively referred to as "collaborative project delivery"), shall be to: a. Provide a central organization through which to undertake those lawful activities, which can be conducted most effectively and efficiently by a collaborative effort; b. Collect and disseminate data, statistics, technical information, and such other information as may be authorized by the wcda and consistent with law; c. Promote broader acceptance of the best practices of all forms of collaborative project delivery through such activities as public outreach, marketing, research, standards, technical education, and promotional programs; and collaboration with other industry organizations as approved by the board; d. Represent the interests of the wcda and water industry in contacts with various federal and state government and regulatory agencies, legislative bodies, standards-setting groups, code-making bodies, and other trade organizations; e. Assist and educate existing and project owners and purchasers of all forms of collaborative project delivery to become more knowledgeable about the use of best practices in procuring and completing water projects; and f. Do all lawful acts and things necessary to properly promote and protect the welfare of the industry and advance the legitimate common interests of the wcda.”
