Governance Explanations

Form 990, Part VI, Section B, Line 11B

The executive director and chief financial officer review form 990 prior to filing with the irs.

Form 990, Part VI, Section B, Line 12C

The governance committee of the board periodically reviews the conflict of interest policy and the implementation process. When new trustees are elected, they are given a copy of the policy and required to disclose in writing any conflicts of interest. At the board's annual meeting in june, all trustees are given a copy of the conflict of interest policy and are required to renew their written disclosures of any conflict.

Form 990, Part VI, Section B, Line 15

Efforts are made to secure compensation data from industry sources in order to determine competitiveness and appropriateness of salaries. Every effort is made to ensure that the process is thorough and transparent. The salaries of key personnel are reviewed by the board in executive session.

Form 990, Part VI, Section C, Line 19

Like all nonprofit corporations, a copy of our annual form 990 is available to the public in guidestar. Other financial statements, governing documents, and conflict of interest policies are not publicly posted, but are available upon request.

Financial Statement Notes

PART X, LINE 2:

The school is exempt from federal and state income taxes under internal revenue code section 501(c)(3) and california revenue and taxation code section 23701d. Accordingly it has not provided for income taxes in the financial statements. Each year, management considers whether any material tax position the school has taken is more likely than not to be sustained upon examination by the applicable taxing authority. Management believes that any positions the school has taken are supported by substantial authority and, hence, do not need to be measured or disclosed.
