All board members are appointed by the Foundation's supported organization, Baton Rouge Area Foundation.

Form 990, Part VI, Section B, Line 11B

After completion of the IRS Form 990, copies area emailed to the entire board of directors. The president reviews and approves the veracity of the information presented in the form. The form is signed by the president (or other appropriate representative of the Foundation), dated and submitted to the IRS by the filing deadline.

Form 990, Part VI, Section B, Line 12C

Directors are required to complete a disclosure statement annually. The disclosure obligation is continuing and directors are required to update their respective disclosure if a conflict or the appearance of a conflict arises prior to the next report period. Disclosures (and subsequent disclosure) are initially reviewed by the Foundation's president: if any potential conflicts are present, he or she shall leave the board or committee meeting while the determination of a conflict of interest is discussed and voted upon.
