Governance Explanations

Form 990, Part VI, Section B, Line 11B

The draft federal form 990 is reviewed by the board chair, executive director and she should run's entire governing body. After they have reviewed it, the edits are incorporated into the final draft which is reviewed by the finance and operations consultant as well as the executive director to ensure that all the edits are incorporated prior to filing.

Form 990, Part VI, Section B, Line 12C

When a new board member joins she should run, their relationships with other organizations are reviewed by the board of directors nominating committee in a rigorous review process. This review includes determining whether or not the individual has any potential conflict of interest issues. For employees, a similar review is conducted by the executive officers, with referral to the board of directors executive committee if required to ascertain any conflicts from external activities or ties. As a procedure, when new major contracts are signed throughout the year, they are presented to the board of directors to ensure no conflicts.

Form 990, Part VI, Section B, Line 15A

An annual compensation review for the executive director is done by a specially appointed board committee with written input from the board of directors and staff with the board of directors executive committee determing any raises and additional reimbursements needed annually employees compensation is determined and approved by the executive director. The information is included in the annual budget approved by the board of directors.

Form 990, Part VI, Section C, Line 19

She should run makes its governing documents, conflict of interest policy and financial statements available to the public upon request. Additionally, governing documents are sent to the states where she should run is registered to fund raise.

Additional Explanations

Form 990, Part III, Line 2

We offered our first "incubator experience," offering an in-person workshop taking a deeper dive into an existing training module. This experience was an in-person "storytelling workshop" in which a group of 15 incubator cohort graduates were invited to hear from content-area experts and work with filmmakers to create and tell their leadership stories. Participants each left with a short video of themselves telling their story for their professional use.

Form 990, Part III, Line 3

The 2017 990 listed the following program services that are research projects we are no longer a part of or directly use in our trainings and awareness efforts: to eliminate the unique barriers women face in elected leadership through projects that call out sexism and educate our supporters about women's political giving gap.

Form 990, Part IX, Line 11G

Other professional fees for services: program service expenses 195,527. Management and general expenses 14,529. Fundraising expenses 7,330. Total expenses 217,386.

Financial Statement Notes

PART X, LINE 2:

Income taxes - the organization is a nonprofit organization as described in section 501(c)(3) of the internal revenue code, as amended, and is exempt from federal and state income taxes; accordingly, no provision has been made for income taxes. In addition, the organization has been determined by the internal revenue service not to be a "private foundation" within the meaning of section 509(a) of the internal revenue code. For the year ended december 31, 2018, management believes the organization continues to satisfy the requirements of a taxexempt organization at december 31, 2018. Management has evaluated all other tax positions that could have a significant effect on the financial statements and determined the organization had no uncertain income tax positions at december 31, 2018.
