“The Executive committee consists of the President, Treasurer, and Secretary, but only if these officers are also Directors, along with any other Directors the Board may elect from time to time. All members of the Executive Committee must be Directors. The Executive Committee is authorized to exercise, between meetings of the Board, all powers vested in the Board of Directors that may be delegated to it, except the powers to elect Directors or Officers, to fill vacancies in such offices, or to remove Directors or Officers from office. The Executive Committee acts by a two-thirds majority of its members, and minutes of each meeting are sent to all Directors. The committee's authority and manner of conducting business are subject to the Board's determination and any limitations set forth in the bylaws.”

The president is responsible for reviewing the signed statements and ensuring that interested persons are in compliance with the conflict of interest policy. The Chair reviews the president's signed statement. Should any potential conflicts of interest be disclosed, the board member or officer would be asked to refrain from participating in any deliberation or decision with regard to matters affected by the relationship.”

No members of the board have a conflict of interest with the co-presidents & CEO (including interim CEO). A review of compensation from others in similar organizations with similar responsibilities is also completed and the deliberation and decision are documented in the board minutes.”
