The organization is organized on a membership basis as a non-stock corporation.

Per the by-laws, the officers of the corporation shall be elected from among the corporate members at the january annual meeting of the corporation. Any vacancy created by a resignation or removal of an officer shall be filled by election of the corporate memebership at the next regular meeting. Corporate members are organizations that provide healthcare services in huron, sanilac, and tuscola county, michigan.

The finance committee reviews the draft copy of form 990 with the preparer and executive director. Upon approval of the finance committee, the draft copy of form 990 is then reviewed with the entire governing board for approval before filing.

Trhn requires an annual "thumb rural health network conflict of interest disclosure and acknowledgement statement" to be signed by all board members and employees. This statement identifies any conflict of interest, or possible conflict of interest, that may develop during the calendar year. Signature of this statement acknowledges that the trhn conflict of interest policy requires disclosure of certain interest on an annual basis.
