Governance Explanations

Form 990, Part VI, Section A, Line 1

The foundation's executive committee is composed of the officers of the board of directors. The executive committee has the power to act on behalf of the board of directors between meetings of the board, subject to any limitations imposed by the board of directors. Unless specifically authorized by the board of directors by resolution approved by the affirmative vote of a majority of the directors, the executive committee shall not have the authority and power to elect officers, to amend the foundation's governing documents, to adopt a plan of merger or consolidation, to authorize the sale or other disposition of all or substantially all of the property and assets of the foundation, or to authorize a voluntary dissolution of the foundation or revocation thereof.

After review and approval by the controller, a draft copy of the form 990 is provided to the executive committee. The executive committee reviews the draft form 990, addressing any comments or concerns, and then makes a recommendation to the board of directors for approval. Upon approval of the draft form 990 by the board of directors, the form 990 is filed with the irs.

The foundation's conflict of interest policy covers members of the board of directors, officers, and key employees who each have an affirmative obligation to act at all times in the best interests of the foundation. Each covered official has a fiduciary duty to conduct himself or herself without conflict to the interests of the foundation. When acting within his or her capacity as a covered official, he or she must subordinate personal, business, third-party, and other interests to the welfare and best interests of the foundation. Disclosure. The board of directors recognizes that conflicts of interest are not uncommon, and that not all conflicts of interest are necessarily harmful to the foundation. However, the board requires full disclosure of all actual and potential conflicts of interest. Each covered official shall disclose any and all facts that may be construed as a conflict of interest, both through an annual disclosure process and whenever such actual or potential conflict occurs. Process and remedy. The board of directors will determine whether or not a conflict of interest exists, and whether or not such conflict materially and adversely affects the interests of the foundation. A covered official whose potential conflict is under review may not debate, vote, or otherwise participate in such determination. If the board of directors determines that an actual or potential conflict of interest does exist, the board shall also determine an appropriate remedy. Such remedy may include, for example, the recusal of the conflicted covered official from participating in certain matters pending before the board or other foundation body. All proceedings related to conflicts of interest are documented in the meeting minutes. Annual disclosure process. On an annual basis, each member of the board of directors shall be provided with a copy of the conflict of interest policy, and shall complete and sign the acknowledgement and disclosure form.

Aging services of minnesota foundation has been recognized as a tax-exempt, nonprofit organization under section 501(c)(3) of the internal revenue code. Aging services of minnesota foundation is exempt from income taxes, with the exception of unrelated business income. Aging services of minnesota foundation follows the guidance that clarifies the accounting for uncertainty in income taxes recognized in an organization's financial statements. Aging services of minnesota foundation is subject to taxes on unrelated business income but has no obligation for unrelated business income tax at december 31, 2013 and 2012. Aging services of minnesota foundation is no longer subject to federal and state tax examinations by tax authorities for years prior to 2010.

THEY ARE EMPLOYED BY AGING SERVICES EMPLOYERS AND ENGAGE IN ON-THE-JOB LEARNING WHILE TAKING THE COMPREHENSIVE HSS CURRICULUM, WHICH INCLUDES KEY MODULES CRITICAL TO OLDER ADULT SERVICES WORTH NINE POST-SECONDARY CREDITS.FUNDING FOR THE HSS PROGRAM HAS BEEN PROVIDED THROUGH GRANTS FROM HEALTHFORCE MINNESOTA AND NORTH CENTRAL KANSAS TECHNICAL COLLEGE. AGING SERVICES OF MINNESOTA FOUNDATION CONTINUES TO WORK WITH HEALTHFORCE MINNESOTA AS WELL AS CURRICULUM EXPERTS THROUGH THE MNSCU SYSTEM AND STAFF THROUGH THE HEALTHCARE EDUCATION INDUSTRY PARTNERSHIP (HEIP) TO DEVELOP CURRICULUM AND IMPLEMENT THE PROGRAM. THERE WERE SOME EXPENSES IN 2013 FOR THE PROGRAM AND EXPENSES WILL CONTINUE TO BE INCURRED FOR THIS PROGRAM.AGING SERVICES OF MINNESOTA FOUNDATION AWARDED INDIVIDUAL SCHOLARSHIPS FOR PARTICIPATION IN THE LEADERSHIP ACADEMY DURING 2013. RECIPIENTS OF THE SCHOLARSHIPS WERE SELECTED THROUGH A REVIEW PROCESS AND APPROVED BY THE FOUNDATION BOARD OF DIRECTORS. LEADERSHIP DEVELOPMENT IS ONE OF THE SIGNATURE PRIORITIES OF THE AGING SERVICES OF MINNESOTA FOUNDATION. TO SUPPORT THIS IMPORTANT WORK, THE FOUNDATION MAKES SCHOLARSHIPS AVAILABLE FOR THE LEADERSHIP ACADEMY SO THAT FINANCIAL LIMITATIONS ARE NOT A BARRIER FOR EXISTING OR EMERGING LEADERS WITHIN OUR MEMBERSHIP TO ACCESS THE BENEFITS OF THIS HIGHLY RATED LEADERSHIP DEVELOPMENT PROGRAM.IN 2013, AGING SERVICES OF MINNESOTA FOUNDATION AGREED TO SUPPORT ACT ON ALZHEIMER'S. ACT ON ALZHEIMER'S IS A STATEWIDE, VOLUNTARY COLLABORATION THAT INCLUDES OVER 50 ORGANIZATIONS AND 150 INDIVIDUALS SEEKING TO PREPARE FOR THE BUDGETARY, SOCIAL, AND PERSONAL IMPACTS OF ALZHEIMER'S DISEASE. AGING SERVICES OF MINNESOTA AND SOME OF ITS MEMBERS HAVE BEEN ACTIVE AND CRITICAL PARTICIPANTS IN THIS INITIATIVE. AGING SERVICES OF MINNESOTA HAS AGREED TO PROVIDE HOST SERVICES AND FINANCIAL SUPPORT FOR ACT ON ALZHEIMER'S. ACT ON ALZHEIMER'S IS FOCUSED ON FIVE PRINCIPAL GOALS:1. IDENTIFY AND INVEST IN PROMISING APPROACHES THAT REDUCE COSTS AND IMPROVE CARE;2. INCREASE EARLY IDENTIFICATION AND IMPROVE ONGOING CARE;3. SUSTAIN CAREGIVERS BY OFFERING THEM INFORMATION, RESOURCES AND IN-PERSON SUPPORT;4. EQUIP COMMUNITIES TO SUPPORT THEIR RESIDENTS WHO ARE TOUCHED BY THE DISEASE; AND5. RAISE AWARENESS AND REDUCE STIGMA BY ENGAGING COMMUNITY IN PLANNING FOR AND INTEGRATING ALZHEIMER'S RESOURCES THAT FOSTER EARLY DETECTION, QUALITY CARE AND SUPPORT AND COMMUNITY READINESS.
