Provides clinical treatment services to approximately 5,000 clients on an annual basis in dutchess and ulster counties.our outpatient clinic services are under the nys office of mental health licensure as article 31 outpatient clinic services. Treatment services include assessment, individual therapy, group therapy, psychiatric assessment, medication management and complex care management. All individuals receiving treatment at hvmh clinics have a behavioral health related diagnosis and many have concomitant substance abuse disorders. Clients receiving services at hvmh are provided individual and/or group therapy sessions by a licensed clinician and are followed by the prescriber (psychiatrist and/or nurse practitioner) for evaluation, medication, and medication management. The organization contracted with the organization's parent organization, family services, inc. To provide managerial and administrative services. The vice president of family services, inc., joan crawford, served as interim president of hudson valley mental health, inc. Under the agreement. For 2018, joan crawford's compensation from family services, inc. Included the following amounts: salary: 103,381 pension: 5,337 benefits: 16,026 total compensation: 124,744 the management services rendered to hudson valley mental health, inc. Include the following: -provide supervision to key agency staff; -strategic response to community needs; -continue building partnerships, establishing relationships with the funders, stakeholders, and community leaders; -representing the agency in industry conferences, professional associations, and other public venues; -participating in agency-wide and agency-appointed committees in order to facilitate agency program initiatives and services to the community; -engage with the independent practice association (ipa) (coordinated behavioral health services- cbhs) in committees, workgroups, and initiatives; -monitor and evaluate the quality of services and programs, and the performance of staff to ensure that programs and staff performance meet agency and regulatory bodies' standards; -ensure effective systems to track program outcomes, and regularly evaluate program components, so as to measure successes that can be effectively communicated to the board, funders, and other constituents; -prepare budgets for programs and monitor fiscal compliance of programs in order to assure that funding for programs is responsibly managed; -structure and lead teams to deliver outstanding services. Assure appropriate staffing by recruiting, interviewing, and recommending candidates for positions within agency; -in conjunction with director of operations ensures clinical compliance with new york state office of mental health (omh) standards and clinical compliance with the office of medicaid inspector general (omig) guidelines; and -support and inform the hvmh board of directors and joint committees. The organization incurred management and administrative fees of 719,983 provided by family services, inc. During 2018, of which, 19,340 is related to the management services described previously.

Family services, inc. Is the parent company of hudson valley mental health, inc. This affiliate is incorporated as a member corporation with family services, inc. As its sole member. Family services, inc. Provides administrative support to the affiliate as part of this legal relationship. Service fees are paid to the parent company for the provision of these functions, including accounting, financial management, human resources, and information technology. Some of these duties would customarily be performed or supervised by the affiliate president or key employee.

A slate of names shall be provided by hvmh board member(s) serving on the joint governance committee to the joint governance committee as potential directors (the "initial slate.") at least thirty (30) days prior to the annual meeting of the sole member (family services, inc.), the joint governance committee shall present to the board of directors of the corporation a slate of proposed directors, subject to re-election or election, to serve as the board of the corporation (the "proposed slate.") if the proposed slate is approved by the board (the "approved slate"), in its entirety, then the approved slate will be provided to the sole member at its annual meeting, and the board of directors of the sole member will either accept the approved slate, resulting in the election of the individuals on the approved slate as the directors of the board of the corporation or reject the approved slate in its entirety. A vacancy on the board of directors shall be filled by a majority vote of the board of directors. This election to fill the vacancy shall be subject to ratification by the sole member at its next regular meeting or at a special meeting called for that purpose.

Hudson valley mental health was incorporated as a member organization, with family services, inc. As the sole member. The governing body of family services, inc. Has authority over the following areas of business: sale of real property or facilities, capital expenditures, amendment of certificate of incorporation, amendment of by-laws, trustee election and replacement, termination of family services, inc. As sole member, abandonment of material diminution of services or programs, reorganizations of substantially all the assets, assumption of debt, operating and capital budgets, allocation of funds, new affiliated agencies and joint ventures. Various decisions of the hvmh governing board are subject to ratification by the family services inc. Board, i.e. Budgets, by-law amendments, assumption of debt, dissolution of assets, etc.

During the engagement and contracting process with an auditing firm, hvmh includes the stipulation that the form 990 be electronically submitted by the auditors to the organization prior to filing with the irs. Once received, the organization's president, cfo and audit committee of the board convene to review and approve the draft version. The review consists of comprehensive evaluation of both narrative and financial information. After this review, hvmh distributes the form 990 to the organization's entire governing body prior to filing with the irs.

Form 990, Page 6, Part VI, Line 12C

Prior to initial election, and annually thereafter, each director shall be required to complete, sign and submit to the secretary, or an authorized designee, as appropriate, a written statement identifying, to the best of the director's knowledge, any entity of which such director is an officer, director, trustee, member, owner (either as a sole proprietor or a partner), or employee and with which the corporation has a relationship, and any transaction in which the corporation is a participant, and in which the director might have a conflicting interest. The secretary shall provide a copy of all completed disclosure statements to the chair of the affiliated partners audit committee. A copy of each disclosure statement shall be available to any director on request. If at any time during his or her term of service, a director, officer or key employee acquires an interest, or circumstances otherwise arise, which could give rise to a real or potential related party transaction, or any other conflicted matter, he or she shall promptly disclose, in good-faith, to the board of directors, or an authorized committee thereof, as appropriate, the material facts concerning such interest. The affiliated partners audit committee shall review any real, or potential, related party transaction, or any other matter which might be considered to constitute a conflict of interest for a particular related party. In any instance where a related party transaction, or other conflicted matter, is being reviewed, and is so material that it would customarily warrant formal approval by the affiliated partners audit committee, said committee shall thoroughly review the transaction or matter and submit to the board of directors, a recommendation as whether or not it should be to approved.

The organization files an annual form 990 as a tax-exempt organization under section 501(c)(3) of the internal revenue code. As such, no federal or new york state taxes are paid by the organization. CBHS IS COMPRISED OF NOT-FOR-PROFIT AGENCIES PROVIDING BEHAVIORAL HEALTH AND DEVELOPMENTAL DISABILITY SERVICES. IT HELPS MORE THAN 60,000 INDIVIDUALS ANNUALLY AND IS PREPARING AGENCIES INDIVIDUALLY AND COLLECTIVELY TO MEET THE NEEDS OF THE CHANGING HEALTH CARE SYSTEM. AS PART OF THE CONTRACT WITH DUTCHESS COUNTY, HVMH CONTINUES PROVIDING CLINICAL SUPPORT TO THE RE-ENTRY STABILIZATION TRANSITION AND REINTEGRATION TRACK (RESTART) IN THE DUTCHESS COUNTY JAIL. THE RESTART PROGRAM IS AN INNOVATIVE PROGRAM TARGETING HIGH RECIDIVISM RATES FOR INCARCERATION AND IS COMPRISED OF STAFF FROM HVMH, PROJECT MORE, & DCDBCH. IN 2018 HVMH CONTINUED PROVIDING SERVICES AS PART OF THE TRANSITION OF CARE WELLNESS PROJECT WITH ACCESS SUPPORTS FOR LIVING, OUR CBHS PARTNER AND WITH WESTCHESTER MEDICAL CENTER (WMC). THIS PROJECT TARGETS CLIENTS WHO ARE BEING DISCHARGED FROM THE WMC POUGHKEEPSIE CAMPUS AND AIMS TO IMPROVE CLIENT ENGAGEMENT WITHIN 48 HOURS OF HOSPITAL DISCHARGE.
