Governance Explanations

Form 990, Part VI, Section B, Line 11B

The finance committee reviews the prepared federal form 990 and then presents the draft version of the federal form 990 to the full board of directors prior to filing with the internal revenue service.

Form 990, Part VI, Section B, Line 12C

The board of directors shall periodically consider whether and how this conflict of interest policy should be revised or amended to better meet its objectives; in connection with any periodic review conducted by the organization to ensure that it operates in a manner consistent with its charitable purpose. The board of directors may or not use outside advisors as in conducting periodic reviews, but ultimately, responsibility for ensuring that the practices outlined in this document are followed lies with the board-members themselves.

Form 990, Part VI, Section B, Line 15A

A compensation benchmarking process for every position in the organization was conducted in the spring of 2022 and the new recommended salary ranges went into effect for fy23. This included the executive director salary, which was used to recruit and hire a new executive director outside of the organization for the first time ever. This compensation benchmarking review process is conducted every 3 years. Swb started the process in october 2024, with plans to share recommendations in spring 2025, aiming for the new salary ranges to take effect during the fy26 budgeting process.

Financial Statement Notes

PART X, LINE 2:

The organization follows the authoritative guidance relating to accounting for uncertainty in income taxes included in accounting standards codification topic 740-10, income taxes. These provisions provide consistent guidance for the accounting for uncertainty in income taxes recognized in an entity's financial statements and prescribe a threshold of "more likely than not" for recognition and derecognition of tax positions taken or expected to be taken in a tax return. It is the organization's policy to recognize interest and/or penalties related to uncertain tax positions, if any, in income tax expenses. The organization performed an evaluation of uncertain tax positions for the year ended july 31, 2024 and determined that there were no matters that would require recognition in the financial statements or that may have any effect on its tax-exempt status. The statute of limitations generally remains open for three tax years with the u.s. Federal jurisdiction or the various states and local jurisdictions in which the organization files tax returns.
