We oversee the Waterfront Management Authority (WMA), a business improvement district dedicated to improved maintenance, beautification, and visitor services for Baltimore's signature asset-the Waterfront. Our Clean, Green, Hospitality, and Safety teams work tirelessly to provide a friendly face while ensuring the promenade is clean and shiny and that the landscape is always lush and colorful. We plan for the future, working towards a swimmable and fishable Harbor and advocating and planning on behalf of our public spaces. Whether it's making a case for increased capital investment, traffic improvements, or more aggressive action on clean water, the Waterfront Partnership plays a vital role in reinvestment toward our city's cultural epicenter and economic generator.

Provide hospitality and safety services to Baltimore's Inner Harbor, Harbor East and Fell's Point district to promote tourism. Maintain attractive landscaping at the promenade and adjacent areas to Baltimore's inner harbor. Maintain the grounds at the promenade and throughout the district by removing trash and performing maintenance. Promote awareness and initiatives for keeping trash out of the Baltimore Harbor. Market Baltimore's waterfront and Rash Field Park to visitors and tourists via social media and through sponsoring special events and programming.
Keep Baltimore's Inner Harbor promenade swept clean, graffiti free, and in good condition. Landscape open spaces, mow grass, plant flowers, tend to irrigation, and daily watering of hanging baskets.

“The by-laws designate several ex-officio members of the Board of Directors, including two members of the Baltimore City Council (nonvoting) that are selected by the City Council, The Baltimore City Comptroller (nonvoting), a representative of the Mayor of Baltimore selected by the Mayor, and individuals who are appointed to serve as heads of various city departments or agencies. Other ex-officio members include President of the Greater Baltimore Committee, Executive Director of the National Aquarium in Baltimore, Executive Director of the Maryland Science Center, President of Living Classrooms Foundation or his designee, Baltimore City Police Commissioner, and the Mayor's Inner Harbor Coordinator. The three elected officials do not have a vote, nor is attendance counted towards a quorum. A total of ten members of the board are designated for individuals who occupy certain positions. Four members shall include one representative each from the highest assessed value properties in the special benefits district served by the organization.”

“A standard questionnaire is provided to each board member annually. The questionnaire is designed to elicit information about conflicts of interest. Organizational policy prohibits direct and self-dealing with disqualified persons, subject to exceptions that are properly disclosed, where transactions are at arms-length, and supervised by the Board of Directors. Disqualified persons are not permitted to vote on matters in which they have a real or perceived interest. The questionnaires are reviewed by the President, who is not a board member, and who is responsible to the Executive Committee on any matter that may have a conflict of interest or otherwise requires review or supervision to ensure that any potential conflict of interest is disclosed and dealt with in a manner consistent with IRS requirements and organizational policies. Two disclosures are made about members of the Board of Directors. 1)James Bond, is President of Living Classrooms Foundation, which provides services to the organization under a contract that might have the appearance of a conflict of interest. The contract is to provide training and services at arms-length terms and provides no personal benefit to Mr. Bond. Mr. Bond recuses himself with respect to this contract and Waterfront Partnership of Baltimore. The Board is aware of the contract and has determined at a conflict does not exist. 2) Marco Greenberg is the sole member of Phoenix Real Estate Advisors, LLC. When the Project Manager for the Rash Field project resigned, an agreement was made with Phoenix Real Estate Advisors, LLC. To manage the project. The Board of Directors is aware of the agreement and satisfied that it is at arms-length and has determined that a conflict does not exist. Mr. Greenberg recuses himself on any matter relating to this agreement.”

“The Waterfront is exempt from Federal income taxes under Section 501(c)(3) of the Internal Revenue Code and is recognized as such by the Internal Revenue Service. The Waterfront has also been classified as an entity that is not a private foundation within the meaning of Section 509(a)(3). The Waterfront's three single member limited liability companies are disregarded entities for tax reporting purposes and are included in the Waterfront's Federal tax return. The provisions included in accounting principles generally accepted in the United States of America provide consistent guidance for the accounting for uncertainty in income taxes recognized in an entity's financial statements and prescribe a threshold of "more likely than not" for recognition of tax positions taken or expected to be taken in a tax return. The Waterfront performed an evaluation of uncertain tax positions as of June 30, 2024 and 2023, and determined that there were no matters that would require recognition in the accompanying consolidated financial statements or which may have any effect on its tax-exempt status. As of June 30, 2024, the statute of limitations for fiscal years 2021 through 2024 remains open with the U.S. Federal jurisdiction.”
