“Before filing, a copy of the Form 990 and all required schedules were provided to each voting member of the Board of Directors. Each member is instructed to contact the President of the organization with any questions or concerns and is given ten days to do so before the return is filed.”

“Each May, a conflict of interest disclosure form is distributed to all voting members of the Board of Directors. Each member has one month to return the form. Any conflict of interest is discussed at the next board meeting with appropriate actions taken by the Chairperson of the Board.”

“The Chairman of the Board of Directors is responsible for the completion and implementation of evaluation and compensation of the President. Prior to the conclusion of the fiscal year, and in conjunction with the budget preparation process for the subsequent fiscal year, the Chairman shall be responsible for recommending the compensation and benefits of the President. The development of the final compensation package may use market-based data that is independent of O-pa. In addition, an outside consultant may be engaged to conduct an independent review periodically as determined by the Chairman to ensure that the information is timely and appropriate. The Chairman's assessment shall be provided for review to a Compensation Committee comprised of not less than two other members of the Board of Directors. Following the Compensation Committee's approval, the Board of Directors will make the final approval prior to the end of the fiscal year and note its actions in its minutes.”
