Enforcement of conflicts policy the chair of the board of directors of the corporation (or his or her designee -- the "conflicts administrator") shall be responsible for implementation of this policy, including: (a) assuring proper adoption by the board of directors of resolutions from time to time identifying the members of senior staff of the corporation and the major consultants or other independent contractors to the corporation who are to be designated as covered persons and made subject to the policy, and that, with respect to any such consultants and independent contractors, they are by contract made subject to the policy; (b) assuring that all covered persons (including all directors and officers of the corporation) timely submit the acknowledgement statements required to be submitted under article vii and that all disclosure statements submitted by interested persons under article viii are presented to the board of directors in a timely manner; and (c) otherwise taking any and all necessary actions for the proper implementation of this policy. In connection with any actual or potential conflicts of interest, an interested person, in accordance with article viii, must disclose, on a disclosure statement submitted to the conflicts administrator, the existence and nature of his or her financial interest and must be given the opportunity to disclose all material facts to the directors and members of committees with board-delegated powers considering the proposed transaction or arrangement in which the interested person has a financial interest. After disclosure of the financial interest and all material facts, and after any discussion with the interested person, the interested person shall leave the board or committee meeting while the determination as to whether an actual conflict of interest exists is discussed and voted upon; except that the interested person may attend such a meeting if invited to do so by the board or committee, but only for the purpose of responding to questions propounded by a director or committee member regarding the proposed transaction or arrangement. Only the disinterested members of the board or committee shall decide whether an actual conflict of interest in fact exists. Procedures for addressing a conflict of interest (a)an interested person may make a presentation at the board or committee meeting, but after such presentation, he/she shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement that results in the conflict of interest. (b)the chair of the board or committee shall, if appropriate, appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement. (c)after exercising due diligence, the board or committee shall determine whether the corporation can obtain a more advantageous transaction or arrangement with reasonable efforts from a person or entity that would not give rise to a conflict of interest. Nutritional assistance program - the cancer foundation's nutritional assistance program helps reduce food insecurity and alleviate grocery expenses for individuals and families affected by cancer, allowing patients to redirect their limited resources toward other critical living needs. The program includes two services: an on-site pantry and a mobile pantry. The on-site pantry provides clients with a verified cancer diagnosis who are in active treatment with groceries tailored to their dietary needs, including shelf-stable goods, frozen food, and pantry staples. In 2024, the on-site pantry served 87 patients with cancer. The mobile pantry distributes pre- packed food boxes through pop-up events hosted in partnership with the food bank. In 2024, the mobile pantry served 386 households, providing food support to 1,892 individuals. Altogether, the nutritional assistance program supported a total of 1,979 individuals and distributed more than 57,000 pounds of food, providing approximately 44,186 meals during the year.

Schedule D, Page 3, Part X

The organization follows fasb asc 740 regarding the recognition requirements for uncertain tax positions as required by generally accepted accounting principles, with no cumulative effect adjustment required. Income tax benefits are recognized for income tax positions taken or expected to be taken in a tax return, only when it is determined that the income tax position will more-likely-than not be sustained upon examination by taxing authorities. The organization has analyzed tax positions taken in its filing with the internal revenue service and state jurisdictions where it operates. The organization believes that its income tax filing positions will be sustained upon examination and does not anticipate any adjustments that would result in a material adverse affect on the organization's financial condition, results of operations or cash flows. Accordingly, the organization has not recorded a reserve, or related accruals for interest and penalties for uncertain income tax positions as of december 31, 2024. The organization is subject to routine audits by taxing jurisdictions; however, there are no audits currently being performed. The organization believes it is no longer subject to income tax examinations for years prior to 2021. The organization's policy is to classify income tax related interest and penalties in interest expense and other expenses, respectively.

THE PROGRAM INCLUDES TWO SERVICES: AN ON-SITE PANTRY AND A MOBILE PANTRY. THE ON-SITE PANTRY PROVIDES CLIENTS WITH A VERIFIED CANCER DIAGNOSIS WHO ARE IN ACTIVE TREATMENT WITH GROCERIES TAILORED TO THEIR DIETARY NEEDS, INCLUDING SHELF-STABLE GOODS, FROZEN FOOD, AND PANTRY STAPLES. IN 2024, THE ON-SITE PANTRY SERVED 87 PATIENTS WITH CANCER. THE MOBILE PANTRY DISTRIBUTES PRE- PACKED FOOD BOXES THROUGH POP-UP EVENTS HOSTED IN PARTNERSHIP WITH THE FOOD BANK. IN 2024, THE MOBILE PANTRY SERVED 386 HOUSEHOLDS, PROVIDING FOOD SUPPORT TO 1,892 INDIVIDUALS. ALTOGETHER, THE NUTRITIONAL ASSISTANCE PROGRAM SUPPORTED A TOTAL OF 1,979 INDIVIDUALS AND DISTRIBUTED MORE THAN 57,000 POUNDS OF FOOD, PROVIDING APPROXIMATELY 44,186 MEALS DURING THE YEAR.

INCOME TAX BENEFITS ARE RECOGNIZED FOR INCOME TAX POSITIONS TAKEN OR EXPECTED TO BE TAKEN IN A TAX RETURN, ONLY WHEN IT IS DETERMINED THAT THE INCOME TAX POSITION WILL MORE-LIKELY-THAN NOT BE SUSTAINED UPON EXAMINATION BY TAXING AUTHORITIES. THE ORGANIZATION HAS ANALYZED TAX POSITIONS TAKEN IN ITS FILING WITH THE INTERNAL REVENUE SERVICE AND STATE JURISDICTIONS WHERE IT OPERATES. THE ORGANIZATION BELIEVES THAT ITS INCOME TAX FILING POSITIONS WILL BE SUSTAINED UPON EXAMINATION AND DOES NOT ANTICIPATE ANY ADJUSTMENTS THAT WOULD RESULT IN A MATERIAL ADVERSE AFFECT ON THE ORGANIZATION'S FINANCIAL CONDITION, RESULTS OF OPERATIONS OR CASH FLOWS. ACCORDINGLY, THE ORGANIZATION HAS NOT RECORDED A RESERVE, OR RELATED ACCRUALS FOR INTEREST AND PENALTIES FOR UNCERTAIN INCOME TAX POSITIONS AS OF DECEMBER 31, 2024. THE ORGANIZATION IS SUBJECT TO ROUTINE AUDITS BY TAXING JURISDICTIONS; HOWEVER, THERE ARE NO AUDITS CURRENTLY BEING PERFORMED. THE ORGANIZATION BELIEVES IT IS NO LONGER SUBJECT TO INCOME TAX EXAMINATIONS FOR YEARS PRIOR TO 2021. THE ORGANIZATION'S POLICY IS TO CLASSIFY INCOME TAX RELATED INTEREST AND PENALTIES IN INTEREST EXPENSE AND OTHER EXPENSES, RESPECTIVELY.
