Governance Explanations

Line 11a explanation - the tax return is given, in paper form, to the finance committee, a subcommittee of the board of directors, to review prior to filing with the irs. The review is headed by the vp of managed care, christy bracewell, of the related organization, yakima valley farm workers clinic, who goes over the return in detail and answers the committee members questions.

Form 990, Part VI, Section B, Line 12C

The conflict of interest policy covers directors, officers and employees. If a responsible person (any person serving as an officer, employee, committee member of the board of directors) has a potential conflict of interest, he/she shall disclose the circumstances to the co-chairs who shall determine whether there exists a conflict of interest that is subject to the policy. If the person with the potential conflict is a co-chair, then by a committee composed solely of disinterested directors. A person who knows he/she has a conflict of interest shall not participate in the board's discussions of the matter except to disclose material facts and respond to questions. A person who is known to have a conflict of interest with respect to a contract or transaction that will be voted on at a meeting shall not be counted in determining the presence of a quorum for purposes of the vote. The person may not vote on or participate in the discussion concerning the contract or transaction. Such person's ineligibility to vote shall be reflected in the minutes of the meeting.

PART X, LINE 2:

Under provisions of section 501(c)(3) of the internal revenue code, the clinic is exempt from federal income taxes, except for net income from unrelated business activities. As of march 31, 2014, the clinic had no unrelated business activities subject to federal income taxes. Management has evaluated the clinic's tax positions and concluded that the clinic had taken no uncertain tax positions that require adjustments to the consolidated financial statements. The clinic is no longer subject to income tax examinations by tax authorities for years before 2011.
