Governance Explanations

Form 990, Part VI, Section A, Line 1A

The executive committee comprises the board chair, the board vice chair, the secretary, and the treasurer. All committee members are part of the governing body. The committee recommends courses of action to the governing body (board of directors). The executive committee can act in executive function, advisory function to the executive director, and can make emergency actions necessary between meetings on behalf of the board when convening a full board meeting is not feasible.

Form 990, Part VI, Section B, Line 11B

The information on the 990 will first be reviewed by the executive director and the treasurer. The form will be distributed to the entire board of directors before the next meeting. An agenda item at that meeting will be for the form's review, discussion, and approval.

Form 990, Part VI, Section B, Line 12

Officers, directors and employees are required to complete a conflict of interest disclosure form on an annual basis. Any board member having a conflict of interest must not vote or use his or her personal influence to address the matter. Compliance with the conflict of interest policy is monitored by the governance committee of the board of directors.

Form 990, Part VI, Section B, Line 15A

The executive director documents accomplishments for the prior year and identifies goals for the coming year. The executive committee meets to review that document, discuss the ed's performance, and establish goals for the coming year. They also determine compensation for the coming year. The board chair then meets with the ed to discuss this information. The organization uses comparable data from similar organizations, for setting the ed's compensation. This process last occurred in 2024. There are no other officers or key employees who receive compensation.

Form 990, Part VI, Section C, Line 19

Conflict of interest and financial statements are available for public inspection upon request at the organization's office: 166 middlesex street north chelmsford, massachusetts 01863

Additional Explanations

Form 990, Part III, Line 3

The organization decided that providing mattresses and furniture to the client community was best served by partnering with an agency focused on those items. We now work in collaboration with household goods in acton, ma, for the donation and distribution of furniture. This change allowed the organization to focus on its strengths of clothing, small household items, baby gear and items provided as 'wishes'.
