Governance Explanations

Form 990, Part VI, Section A, Line 1A

The executive committee of the foundation shall have and may exercise on behalf of the board all of the authority of the board of directors in the management of the affairs of the foundation during intervals between meetings of the board; except that the executive committee may not (a) amend the by-laws; (b) authorize loans; (c) convey or transfer any property or assets of the foundation; or (d) otherwise act on matters solely reserved for action by the board of directors. The county foundation, inc. 20-3246676 the community college of baltimore executive committee shall submit a report of its activities to the board of directors at each meeting of the board of directors. In addition, the executive committee is responsible for review of the committees of the foundation. The executive committee shall consist of the following voting members: the chair, vice chair, board affairs committee chair, development/engagement committee chair, finance/investment committee chair, program committee chair, and vp of institutional advancement. The executive committee shall also include the following non-voting members: campus (catonsville, dundalk, and essex) committee chairs, alumni board chair, and director of advancement services.

The organization's finance committee will review the 990. After the finance committee's review, the 990 will be presented to the board of directors for approval.

Form 990, Part VI, Section B, Line 12C

All board members shall submit a completed conflict of interest disclosure statement to the board chair acknowledging their compliance with this policy and disclosing any matter or relationship that the board member believes could constitute a conflict of interest. These statements will be kept on file by the executive director of the foundation. On any matter which comes before the board, a board member shall abstain from voting if such board member knowingly has a personal and/or financial interest whether direct or indirect. A board member shall disclose to the board chair and to any appropriate board committee any actual or potential conflict of interest on a particular issue before the board or committee. A board member who has disclosed a possible conflict of interest may be counted in determining a quorum and may offer his/her views on the subject in question. Prior to the final discussion before a vote is taken on an issue, the board member will excuse himself/herself from the room. Minutes of the meeting shall reflect that a disclosure was made and that the board member did not participate in the voting on the issue.

The foundation allows the college to display the numbered lithographs in the college art gallery for the students and visitors to see. In addition to the displays, the college uses these lithographs as instructional aides for some of its art classes.

PART V, LINE 4:

The foundation's endowments consist of 265 funds established to support a variety of scholarships at the community college of baltimore county.

PART X, LINE 2:

The foundation has adopted the guidance in accounting for uncertainty in income taxes (asc 740-10); which prescribes a threshold of more-likely-than-not for recognition and de-recognition of tax positions taken or expected to be taken in a tax return. It also recognizes related guidance on measurement classification, interest and penalties, and disclosure. The foundation does not believe that there are any unrecognized tax benefits or costs that should be recognized.
