Governance Explanations

Form 990, Part VI, Section A, Line 1A

The executive committee is comprised of the officers of the board plus two additional board members. The executive committee is responsible for the affairs of the foundation between meetings of the full board of directors. During such intervals, the executive committee shall have the powers of the board of directors within the general policies, programs, budget, and specific directions established by the board of directors.

Form 990, Part VI, Section B, Line 11B

The organization's independent public accounting firm prepares the form 990 based on information provided by the outsourced business manager. Once the return is prepared, it is reviewed by the outsourced business manager along with executive management and the audit and finance committee before being provided to the board for their review prior to filing with the internal revenue service.

Form 990, Part VI, Section B, Line 12C

The snider hockey conflict of interest policy protects the interest of the organization when contemplating entering into a transaction or arrangement that might benefit the private interest of an interested person or might result in a possible excess benefit transaction, as defined in section 4958 of the internal revenue code. The policy applies to all snider hockey board members, decision making staff members and stakeholders. Potential conflicts are reported to any member of the executive committee. After discussion with the interested person, the determination of the conflict is deliberated and voted upon by the committee to determine if a conflict of interest exists. If it is determined that a conflict does exist, the committee shall determine whether the organization can obtain with reasonable efforts a more advantageous transaction or arrangement that would not give rise to a conflict. If no such arrangement can be made, by majority vote, the committee will disallow the transaction. The conflict of interest policy requires that each interested person sign an annual statement which affirms such person has received a copy of the policy, has read and understands the policy, has agreed to comply with the policy, and understands the tax-exempt nature of the organization. In addition, the policy includes a duty to disclose possible conflicts as they arise.

Form 990, Part VI, Section B, Line 15A

The chairman conducts a performance review of the president in early may of each year and makes a salary recommendation, based on comparable data of similar organizations, to the budget and finance committee, chaired by the treasurer. The budget and finance committee then deliberates and documents their approval by may 31. This process was last completed in 2024. Form 990, part vi, section b, line 15b: the organization does not have any other compensated individuals that meet the internal revenue service definition of officer or key employee.

The organization follows the guidance in the income tax standard regarding the recognition and measurement of uncertain tax positions. The guidance clarifies the accounting for uncertainty in income taxes recognized in an entity's financial statements. The application of this standard had no impact on the organization's financial statements. The organization is not aware of any activities that would jeopardize its tax-exempt status.

SNIDER HOCKEY ICED 14 DVHL TRAVEL TEAMS AND 5 MAWHA TRAVEL TEAMS. 1,246 TOTAL STUDENTS HAVE BEEN SERVED THROUGH A COMBINATION OF IN-PERSON AND VIRTUAL PROGRAMMING.
