“As provided in its articles, HSSC is a member-based nonprofit corporation. There shall be three designations of membership in HSSC (Each A "Member and collectively, the "Members"):(A) A "Supported Organization Member" is any entity, organization, or person defined in the articles of incorporation of HSSC, as amended from time to time, as a supported organization member. Each supported organization member has such rights, privileges, and obligations as provided herin and, in the articles, including the right to appoint one individual to serve on the board as a director. Each supported organization member shall not have the right to transfer its membership to any other person.(B) A "TEO Member" is either (I) any entity, organization, or person that is recognized as a tax exempt pursuant to IRC Section 501(C)(3) or (II) any governmental agency, division, municipality, or unit, which is admitted to HSSC as a TEO Member by the supported organization members. A TEO Member shall not have the right to vote on any matter before the board, shall not have the right to transfer its membership to any person, and shall have no rights to any asset of HSSC upon the dissolution of HSSC by virtue of being a TEO Member. (C) A "Trade Member" is any entity, organization, or person that is neither a tax exempt entity for governmental in nature, but instead and/or participates in the activities contemplated in Section 2.2 and is admitted to HSSC as a Trade Member by the supported organization members. A Trade Member shall not have the right to vote on any matter before the board, shall not have the right to transfer its membership to any other person, and shall have no rights to any asset of HSSC upon the dissolution of HSSC by virtue of being a Trade Member. There are no Trade Members in HSSC at this time.”

“Form 990 is reviewed and approved by the organization's CEO and COO. It is available for review by all of the organization's officers.”

“Health Sciences South Carolina's conflict of interest policy is distributed annually to board members. Attached to the copy of the conflict of interest policy is a disclosure statement which is used by board members to disclose and certify any financial transactions or other arrangements which may create a conflict of interest as that term is defined in the HSSC conflict of interest policy. Board members must also agree to update their disclosure statement to reflect changes which require disclosure under the conflict of interest policy. The signature forms are collected and maintained by Health Sciences South Carolina.”

“The executive officer's compensation is determined based on performance and board reviews. It is generally aligned with industry standards and comparable pay scales maintained by the supported organization.”
