There is only one class of voting members having membership in this non- profit corporation, which is the board of directors. Each board member has one vote.

Form 990, Page 6, Part VI, Line 7A

Election of new directors or re-election of current directors happens annually. Only those directors in office at the commencement of the meeting will be qualified to vote. The number of members of the board of directors will be no less than seven or more than eleven.

Form 990, Page 6, Part VI, Line 7B

Decisions are made by the directors at regular and special meetings. At all meetings of the board of directors, each director present will be entitled to cast one vote on any motion. Two thirds of the directors shall constitute a quarm. A majority affirmatiive vote of the directors present is required to pass a motion before the board.

Section b, line 11a the form 990 is reviewed by the members of the land trust on an annual basis. The president & director have a meeting to go over the pertinent financial information. Section b. - general data - policies & procedures. The land trust is always reviewing their policies and have made this a priority as they conduct their non-profit activities in the lemhi valley. Each year the update their policies and procedures in accordance with the land trust alliances standards and practices.

A personnel committee made up of three directors regularly evaluates the executive director and makes a compensation recommendation to the full board of directors for review and approval.

The executive director makes a compensation recommendation to the full board of directors for review and approval. None of the board of directors are compensated for their service. There were 3 employees and 1 executive director compensated for 2016. The executive director was paid 68,572 in wages. There is no fringe benefit package for any directors or employees. Employees are given a monthly health insurance stipend to assist with defraying the costs of individual coverage. The compensation of all employees is approved by the board of directors annually.

As a non-profit entity, certain documents pertaining to the work of lemhi regional land trust, including tax return form 990 are available to the public for review. Lemhi regional land trust considers and responds to public requests for other internal governing documents such as the land trust's many policies and procedures that pertain to upholding and implementing the land trust alliances's standard and practices.

Financial Statement Notes

Schedule D, Page 1, Part II, Line 5

The land trust's conservation easement stewardship program is to preserve the conservation values associated with each property therefore, the land trust is prepared to legally defend and enforce its easements when necessary,however legal enforcement is a remedy of last resort. The goals of the land trust's easement stewardship program includes encouraging voluntary compliance whenever possible, establishing and maintaining good relationships with landowners and the communities in which our easements are allocated, documenting the condition of lands protected by each easement at the time the easement is completed and monitoring that condition over time, maintaining accurate records and being efficient and effective with the use of funds in supporting stewardship activities.

Conservation easements accepted or purchased by the land trust are not recognized as assets in the accompanying financial statements because the land trust does not have fee title to the properties and there are no expected future economic benefits if purchased, the costs of conservation easements are expensed when the easements are acquired.
