The draft 990 was provided to the finance committee of the onami board of directors via email prior to its submittal. Directors had the opportunity to review and comment on the contents. No errors or omissions were identified.

Directors are asked to review and sign the conflict of interest policy on an annual basis. The policy specifies that any director having a conflict of interest identify themselves during related discussion.

Form 990, Part VI, Section B, Line 15

The board of directors appointed a compensation committee composed of directors to gather comparable compensation data, review performance, and recommend a compensation package for the president and executive director, robert rung. The president reviewed comparability data, prepared a performance evaluation, and prepared a recommended compensation package for the vice president. The board chair reviewed and approved the vice president compensation package before it was presented and implemented. This process occurs annually in december of each year.

Financial Statement Notes

PART X, LINE 2:

Onami is a tax-exempt organization and is not subject to federal or state income taxes, in accordance with section 501(c)(3) of the internal revenue code (irc), except for unrelated business income as defined under irc sections 511 through 515. In addition, onami qualified for the charitable contribution deduction under section 170(b)(1)(a) and has been classified as an organization that is not a private foundation under section 509(a)(1). Unrelated business income tax, if any, is insignificant and no tax provision has been made in the accompanying consolidated financial statements. Onami recognizes the tax benefit from uncertain tax positions only if it is more likely than not that the tax positions will be sustained on examination by the tax authorities, based on the technical merits of the position. The tax benefit is measured based on the largest benefit that has a greater than 50% likelihood of being realized upon ultimate settlement. Onami recognizes interest and penalties related to income tax matters, if any, in miscellaneous expense. There were no unrecognized tax benefits as of june 30, 2021 or 2020 and onami had no uncertain tax positions requiring accrual. Onami files an exempt organization return in the u.s. Federal jurisdiction.
