Governance Explanations

Form 990, Part VI, Section A, Line 6

There are three (3) classes of membership: professional member, technologist member, and trainee. All membership classes shall have full voting privileges. Membership in the society shall be available to all individuals without discrimination based upon race, religion, national origin, sex or handicap. The membership shall be available to all individuals interested in cardiovascular computed tomography, having an interest in the society, supporting its purpose, or otherwise qualifying for membership under criteria established by the board of directors from time to time. We currently have more than 3,900 members with an annual membership in the organization.

Form 990, Part VI, Section A, Line 7A

Directors are selected by a majority vote of the membership. Nominations may be recommended to the nominating committee for a slate of directors and officers to be approved by the board and presented for a vote from the membership at the annual membership meeting.

Form 990, Part VI, Section B, Line 11B

The form 990 is prepared by the outside accountant and then forwarded to the board of directors prior to the meeting of the board and prior to filing with the irs. At the board meeting, any questions or discussion will be conducted during the agenda item review of the 990. In addition, the treasurer will field any inquiries prior to the board meeting to ensure a timely response to the inquiries.

If any conflict of interest exists, the board member is required to remove himself/herself from the discussion and abstain from voting on the item under consideration. The board members must complete a written disclosure form on an annual basis and the conflict of interest statement is read at the start of all board meetings.

Additional Explanations

FORM 990, PART XII, LINE 2C:

The organization undergoes an audit or review every year. At that time, the board of directors selects an auditor at a board meeting based upon recommendation from the treasurer and/or finance committee. Each member of the board receives a copy of the audit or review and management letter for his/her review. The audit or review is then reviewed in detail by the treasurer at a subsequent board meeting. The board then formally approves the financial statements during this board meeting.

Financial Statement Notes

PART X, LINE 2:

Under section 501(c)(3) of the internal revenue code, the society is a nonprofit organization and is exempt from federal taxes on income other than net unrelated business income. No provision for federal or state income taxes is required for the year ended december 31, 2024, as the society had no taxable net unrelated business income. The society follows the authoritative guidance relating to accounting for uncertainty in income taxes included in asc topic 740, income taxes. These provisions provide consistent guidance for the accounting for uncertainty in income taxes recognized in an entity's financial statements and prescribe a threshold of "more likely than not" for recognition and derecognition of tax positions taken or expected to be taken in tax return. It is the society's policy to recognize interest and/or penalties related to uncertain tax positions, if any, in income tax expenses. The society performed an evaluation of uncertain tax positions for the year ended december 31, 2024 and determined that there were no matters that would require recognition in the financial statements or that may have any effect on its tax-exempt status. The statute of limitations generally remains open for three tax years with the u.s. Federal jurisdiction or the various state and local jurisdictions in which the society files tax returns.
