Governance Explanations

Form 990 is reviewed by the chief financial officer before filing and is also shared with the board of directors.

Form 990, Part VI, Section B, Line 12C

The foundation has a conflict of interest policy and consistently monitors and enforces its provisions. Annually, all directors submit to the chairman of the board and chief executive officer a conflict of interest disclosure statement listing all financial and conflicting interests and amendments thereto during the year as any additional financial or conflicting interests arise. The statement includes an acknowledgement that the person signing the form: i) received a copy of the policy and bylaws; ii) has read and understands this article; iii) agrees to comply with the provisions of this article; iv) understands that this article applies to the board; and v) understands that this corporation and its affiliates are organized to advance charitable purposes and that in order to maintain tax-exempt status, they must continuously engage primarily in activites which accomplish one or more of their tax-exempt purposes. The bylaws further state that where a matter brought before the board gives rise to a potential conflict of interest, the following additional steps may be taken at the direction of the board: i) the affected person, after the disclosure of the financial interest and all material facts, and after answering any questions that might be asked of him/her, shall withdraw from the meeting while the determination of a conflict of interest is discussed and voted upon; ii) if a conflict exists, the interested person shall remain out of the meeting for so long as the board shall determine; iii) the interested person shall not be counted in determining the existence of a quorum, nor allowed to participate in the deliberations or vote on the item that created the conflict; iv) the board shall determine by a majority vote of the non-interested persons present, that the transaction or arrangement is in the corporation's best interest and for its own benefit; is fair and reasonable to the corporation; and, after exercising due diligence, shall determine that the corporation cannot obtain a more advantageous transaction or arrangement with reasonable efforts under the circumstances; v) in the event that a member of the board of directors develops a financial or conflicting interest that is insurmountable, s/he shall resign from his/her position on the board of directors. Procedures for adequate record keeping direct that the minutes of the board meetings shall include: 1. The names of the persons who disclosed financial or conflicting interests, the nature of the financial or conflicting interests and whether the board determined there were financial or conflicting interest; and 2. The names of the persons who were present for discussions and votes relating to the transaction or arrangement; the content of these discussions, including any alternatives to the proposed transaction or arrangement; and a record of the vote.

To support the treatment of cancer and cancer related illnesses solely allocated to mary bird perkins cancer center or any other designee.

PART X, LINE 2:

The cancer center and foundation are not-for-profit organizations as described in section 501(c)(3) of the internal revenue code and is exempt from federal and state income taxes on related income pursuant to section 501(a) of the irc. Gsoh is taxed as a partnership. Since the partners of these organizations are taxed based on their proportionate share of taxable income, no provision is made for income taxes. The company has recognized an income tax liability and corresponding expense for the year ended june 30, 2024 due to unrelated business income recognized in fiscal year 2023 of $268,000. The company has evaluated its position regarding the accounting for uncertain income tax positions and does not believe that it has any material uncertain tax positions at june 30, 2024. With few exceptions, the statute of limitations for the examination of the company's income tax returns is generally three years from the due date of the tax return including extensions.

THE FIRST WAS A PARTNERHSIP DISTRIBUTION ERRONEOUSLY CLASSIFIED AS CONTRIBUTION INCOME ON PRIOR YEAR TAX RETURN BY PREVIOUS TAX PREPARER. AMOUNT WAS 3,624,872 FOR 6/30/23 (2022). THE SECOND UNUSUAL GRANT SOURCE WAS DR. CHARLES SMITH, TOTALLING $3,217,001. THIS FIGURE HAS ALSO BEEN EXCLUDED FROM ALL CALCULATIONS. THE GRANT FROM DR. SMITH WAS BY BEQUEST. DR. SMITH DIED SEPTEMBER 15, 2020. FUNDS WERE RECEIVED FROM HIS ESTATE IN EACH OF THE YEARS 2020-2022. DR. SMITH WAS A PHYSICIAN WHO LIVED AND PRACTICED MEDICINE FOR OVER 60 YEARS IN LAKE CHARLES, LA. HE WAS NOT MARRIED AND HAD NO CHILDREN. IN HIS WILL, DR. SMITH BEQUEATHED 60% OF HIS ENTIRE ESTATE TO LOUISIANA STATE UNIVERSITY - COLLEGE OF SCIENCE, DEPT. OF PHYSICS AND ASTRONOMY, WHERE HE HAD ESTABLISHED THE DR. CHARLES M. SMITH CHAIR OF MEDICAL PHYSICS. HE BEQUEATHED THE REMAINING 40% OF HIS ESTATE TO THE FOUNDATION. OTHER THAN THE GENEROUS BEQUEST, DR. SMITH HAD NO RELATIONSHIP WITH THE FOUNDATION, NOR WITH THE FOUNDATION'S RELATED ORGANIZATIONS. HE NEVER SERVED ON THE BOARDS. DR. SMITH WAS A CANCER PATIENT WHOSE DONATIONS TO LSU AND THE FOUDNATION WERE MADE TO IMPROVE CANCER CARE IN LOUISIANA AND ACROSS THE GULF SOUTH, AND TO ELEVATE THE FIELD OF MEDICAL PHYSICS TO IMPROVE CANCER CARE FOR EVERYONE. THE UNUSUAL GRANTS WERE NOT INCLUDED IN PART II, SECTION A, LINE 1, NOR WERE THEY INCLUDED IN PART II, SECTION A, LINE 5.
