Form 990, Part VI, Line 7A: How Members or Shareholders Elect Governing Body

“The annual meeting of the Members of the Association shall be held at such time and place, within or without the State of Delaware, as shall be designated by the Board of Directors. Voting Members in good standing and not in arrears for dues or assessments may each cast one vote with respect to each matter put to a vote of the Members. A quorum at the annual meeting shall consist of sixtyfive percent (65%) of the then Voting Members in good standing. Nonvoting Members shall have no right to vote on any matter submitted to the Members for their consideration at any annual meeting or other meeting of the Members.Election of Directors shall be by written ballot. Directors shall be elected by the plurality of the votes of the Voting Members entitled to vote on the election of Directors. For an election of Directors to be valid, ballots must be submitted by a majority of the entire voting membership. The President, Treasurer and Secretary shall be members of the Board of Directors.”

IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt0The annual meeting of the Members of the Association shall be held at such time and place, within or without the State of Delaware, as shall be designated by the Board of Directors. Voting Members in good standing and not in arrears for dues or assessments may each cast one vote with respect to each matter put to a vote of the Members. A quorum at the annual meeting shall consist of sixtyfive percent (65%) of the then Voting Members in good standing. Nonvoting Members shall have no right to vote on any matter submitted to the Members for their consideration at any annual meeting or other meeting of the Members.Election of Directors shall be by written ballot. Directors shall be elected by the plurality of the votes of the Voting Members entitled to vote on the election of Directors. For an election of Directors to be valid, ballots must be submitted by a majority of the entire voting membership. The President, Treasurer and Secretary shall be members of the Board of Directors.
