David sydorick and bruce meyer are co-vice chairman of the petersen automotive museum foundation.

Form 990, Part VI, Section A, Line 7A

Under section 4.3 (c) of the foundation's bylaws, petersen automotive museum, a 501(c)(3) organization, has the right to appoint 1 director to the board of directors. Art center college of design, a 501(c)(3) organization, has the right to appoint 2 directors to the board.

Form 990, Part VI, Section A, Line 8B

The foundation's only committee is the audit committee for which no formal minutes are recorded. However, the audit committee chair conducts discussions with the foundation's assistant treasurer and with the foundation's independent auditors.

Form 990, Part VI, Section B, Line 11B

A draft copy of the 990 will be sent to the foundation for a detailed review. Upon receipt, the chair and assistant treasurer of the foundation will review in detail the tax return and discuss any questions or issues with the preparer. Upon the satisfaction of any issues, the client will send a final copy of the form 990 to the entire board of directors before filing the 990 with the irs and appropriate state agencies.

It is the policy of the foundation that its directors, officers and key employees acknowledge and certify to follow the guidelines of the conflict of interest policy annually and file a copy of such certification with the audit committee. If the conflict or potential conflict is material and unresolved, the audit committee shall make a recommendation to the board of directors. If it is determined that a conflict exists, the board will take appropriate actions such as requiring the interested person to refrain from a vote on the matter or requiring the unwinding of a transaction.

Financial Statement Notes

PART III, LINE 4:

The corporation has acquired an undivided full or partial interest in six classic automobiles, including three archive collections of automobile memorabilia. The corporation has also acquired an interest in atlantic llc, which owns one classic automobile. The corporation makes its collection of automobiles and/or memorabilia available for loan to the supported organizations and other nonprofit organizations, for use in their exhibitions and/or education programs. The foundation's automobile collection is comprised of primarily french classic automobiles from the 1930's. The archive collection includes photos, slides, newspapers, magazines and posters of historical value related to classic automobiles. The foundation is designed to support public charities that are dedicated to the study, preservation and public display of classic automobiles. Upon the passing of peter w. Mullin in 2023, the foundation granted certain classic automobiles to the petersen automotive museum foundation and the art center college of design, where they will be maintained and preserved as part of their collections. The foundation also sold its ownership interest in atlantic llc and holds no remaining equity interest in the entity. The foundation continues to follow a plan to distribute the remaining assets and wind down operations during the year ending december 31, 2025.

PART X, LINE 2:

The foundation is exempt from federal and california income taxes under section 501(c)(3) of the internal revenue code and 23701(d) of the california revenue and taxation code, respectively. The foundation recognizes the financial statement benefit of tax positions, such as its filing status as tax-exempt, only after determining that the relevant tax authority would more likely than not sustain the position following an audit. The foundation is subject to potential income tax audits on open tax years by any taxing jurisdiction in which it operates. The statute of limitations for federal purposes is three years and for california purposes is four years.

THE PAST DIRECTOR, A DISQUALIFIED PERSON UNDER SECTION 4946, DOES NOT MAINTAIN IMPERMISSIBLE CONTROL OF THE FOUNDATION IN CONNECTION WITH THEIR RESPECTIVE INTERESTS IN ATLANTIC, LLC FOLLOWING MR. MULLIN'S PASSING IN SEPTEMBER 2023, THE FOUNDATION INITIATED THE PROCESS OF WINDING DOWN ITS AFFAIRS. DURING 2024, THE FOUNDATION SOLD ITS OWNERSHIP INTEREST IN ATLANTIC TO THE MAJORITY OWNER OF THE ENTITY FOR TOTAL PROCEEDS OF $4,734,450. AS A RESULT OF THE SALE, THE FOUNDATION RECOGNIZED A NET GAIN OF $2,243,233, WHICH IS INCLUDED IN THE ACCOMPANYING STATEMENTS OF ACTIVITIES. FOLLOWING THE TRANSACTION, THE FOUNDATION NO LONGER HOLDS ANY OWNERSHIP IN ATLANTIC.

COVID PROTOCOL RESTRICTIONS HAVE LIMITED THE ABILITY TO LOAN CLASSIC AUTOMOBILES SUBSEQUENT TO OCTOBER 2020, BUT IT IS THE INTENTION TO REACTIVATE THESE LOAN ACTIVITIES AT THE APPROPRIATE TIME. THE FOUNDATION AND PETER MULLIN HAVE ALSO LOANED CERTAIN CLASSIC AUTOMOBILES TO THE PETERSEN AUTOMOTIVE MUSEUM TO BE DISPLAYED AT THEIR SPECIAL EXHIBIT, WHICH BEGAN NOVEMBER 2015 AND CONTINUED THRU MAY 2020. THE FOUNDATION IS DESIGNED TO SUPPORT PUBLIC CHARITIES THAT ARE DEDICATED TO THE STUDY, PRESERVATION AND PUBLIC DISPLAY OF CLASSIC AUTOMOBILES. UPON THE PASSING OF PETER W. MULLIN IN 2023, THE FOUNDATION GRANTED CERTAIN CLASSIC AUTOMOBILES TO THE PETERSEN AUTOMOTIVE MUSEUM FOUNDATION AND THE ART CENTER COLLEGE OF DESIGN, WHERE THEY WILL BE MAINTAINED AND PRESERVED AS PART OF THEIR COLLECTIONS.
