Governance Explanations

Form 990, Part VI, Section B, Line 11B

The form 990 was prepared by an unrelated accounting firm and reviewed internally by the organization's management. A complete copy of the form 990 was also made available to the board of directors prior to filing with the internal revenue service.

Form 990, Part VI, Section B, Line 12C

Board members, members of management, and all full-time employees are required to complete an annual written form disclosing any conflicts of interest. Any conflicts disclosed are reported to the board of directors or its appropriate committee, to the president, or to such person or persons as the president may designate. Any material business transacted with a board member or member's related company is first put out for bid and the bid results are reported to the board operations committee.

Form 990, Part VI, Section B, Line 15

The president's salary is determined by the executive board committee utilizing salaries of comparable organizations as well as salary surveys from destination management association international ("dmai"). All employee salaries are based on dmai salary surveys or salary surveys from payscale, an online subscription payroll management system, if dmai data is unavailable. Salary recommendations are reviewed and approved by the finance board committee and then by the full board via budget approval.

Form 990, Part VI, Section C, Line 19

The organization's conflict of interest policy is included in its bylaws and available for public inspection at the organization's office location. The organization's financial statements are also available for public inspection at the organization's office location. Photocopies are provided upon written request.
