Governance Explanations

Form 990, Part VI, Section B, Line 11B

The ceo works with the organization's outside accounting firm to prepare the 990. Once drafted, the 990 is sent to the finance committee, a subcommittee of the governing body, for review before submission to the irs.

Form 990, Part VI, Section B, Line 12C

The organization requires the governing body to annually complete and sign the conflict of interest policy statements. Once completed, the signed statements are forwarded to the ceo for review.

Form 990, Part VI, Section B, Line 15

The compensation package for the ceo is initially discussed and reviewed by the executive committee of the organization. Subsequent to that review, the entire board votes on the compensation package. Compensation packages for other officers or key employees (as defined by the internal revenue service) are determined in a similar manner. All deliberation is duly documented.

Form 990, Part VI, Section C, Line 19

The organization may make its governing documents, conflict of interest policy, and financial statements available to the public upon request.

FORM 990, PART VI, SECTION B, LINES 13 AND 14:

The organization does not have a formal whistleblower or document retention and destruction policy at this time.

International psoriasis council is a not-for-profit organization exempt from federal income tax under section 501(c)(3) of the internal revenue code and is exempt from federal and state taxes. The organization adopted the provisions relating to accounting for uncertainty in income taxes and management is not aware of any uncertain positions related to tax filings. The organization has evaluated its tax positions, expiring statutes of limitations, audits, proposed settlements, changes in tax law, and new authoritative rulings and believes that no provision for income taxes is necessary, at this time, to cover any uncertain tax positions.
