Pbs is pbs foundation's sole member (article 2.1 of the pbs foundation bylaws).

FORM 990, PART VI, SECTION A, LINE 7A:

Per article 3.2 of the pbs foundation bylaws, the chair of the pbs board of directors, the president of pbs, and either a pbs board member or a senior executive of pbs as designated by the pbs board chair and the pbs president, shall serve as ex officio, voting members of the board ("ex officio directors"). Up to seventeen (17) additional voting directors may be elected by the member to serve on the board at any given time ("elected directors").

FORM 990, PART VI, SECTION A, LINE 7B:

Per article 3.3 of the bylaws, pbs's nominating and corporate governance committee must approve all appointments of pbs foundation board members.

FORM 990, PART VI, SECTION B, LINE 11B:

The process for reviewing the pbs foundation form 990 prior to filing includes a thorough review by the executive director and certain officers of the pbs foundation, including the president, treasurer, and corporate secretary. These officers of the foundation are also members of the senior management team at pbs. In addition, copies of the form are provided to the full board for review prior to filing.

FORM 990, PART VI, SECTION B, LINE 12C:

In accordance with pbs's conflict of interest policy, pbs foundation executive staff, officers and board members are required to complete a conflict of interest form at the beginning of each fiscal year and are required to update the form as necessary throughout the year. These forms are distributed, collected, reviewed, and retained by pbs foundation's corporate secretary, who also serves as pbs's general counsel and corporate secretary.

The foundation's parent organization, pbs, executes on an annual basis a process by which it determines the compensation for the foundation's executive director. The foundation's executive director is compensated by the foundation. The ceo of the foundation and all other officers are compensated solely by the related organization, pbs.

The pbs foundation receives contributions in the form of securities which in practice it liquidates to cash as soon as reasonably possible. These same securities are recorded at the gross sales amount in line 7a of the schedule when sold, resulting in an offsetting gain or loss in fair market value (fmv) at liquidation.

The foundation enlists philanthropic support of public broadcasting through establishing special initiatives funds and an endowment to ensure pbs's continued excellence, and to promote and enhance outstanding public broadcasting programs and services. Working collaboratively and cooperatively with member stations, the foundation endeavors to secure the extraordinary funding necessary to maintain and enhance pbs's commitment to serving the american public.

FORM 990, PART IX, LINE 25:

The foundation is a supporting organization whose efforts and related expenditures sometimes result in benefits not reflected in its own form 990 report, as these benefits are received directly by its supported organization, public broadcasting service.

Reconciliation of net assets: supplemental explanation: revenues are greater than expenses reflecting the timing of receipt of grant funds or commitments in one period, and disbursement of those funds in fulfillment of those obligations in subsequent periods.

Financial Statement Notes

PART IV, LINE 2B:

The amount on form 990, part x, line 21 represents the value of charitable gift annuity liabilities. Pbsf has charitable gift annuity arrangements between donors and the organization in which the donors receive a regular payment for life based on the value of assets transferred to the organization. After the donor's death, the assets are retained by the organization. The residuum of the gift shall be used by pbsf as specified by the donors.

PART V, LINE 4:

The pbs endowment fund consists of individual funds established for a variety of purposes. As required by u.s. Gaap, net assets associated with endowment funds are classified and reported based on the existence or absence of donor-imposed stipulations. The foundation reports those funds in accordance with fasb asc 958, endowments of not-for-profit organizations: net asset classifications of funds subject to an enacted version of the uniform prudent management of institutional funds act (upmifa), and enhanced disclosures for all endowment funds. At june 30, 2021 and 2020, the foundation has endowment funds totaling $20,601,901 and $13,806,063, respectively. Of this balance, funds totaling $5,642,081 and $5,322,267 were restricted in perpetuity at june 30, 2021 and 2020, respectively. In addition to the net assets with donor restrictions, the foundation has board designated endowment funds. Donor restricted endowment funds: the iris and joseph pollock fund: to provide for the broadcast and dissemination of classical music programming. News, journalism, and public affairs fund of the pbs endowment fund: to support news, journalism, and public affairs programming, particularly in the areas of investigative journalism found in programs like pbs newshour and frontline, broadcast by pbs. Board designated fund: pbs endowment fund: to provide a continued source of income for operations, special projects, capital improvements or for emergency needs.

PART X, LINE 2:

Under asc 740-10, income taxes, an organization must recognize the tax benefit associated with tax positions taken for tax return purposes when it is more-likely-than-not that the position will be sustained. The foundation does not believe there are any unrecognized tax benefits that should be recorded. For the years ended june 30, 2021 and 2020, there were no interest or penalties recorded or included in the statements of activities. The foundation is still open to examination by taxing authorities from fiscal year 2018 forward.
