Added a paragraph stating that no part of the net earnings of the festival shall inure to the benefit of its members. Added language articulating the number, term duration, and express powers of directors serving on the board. Added a paragraph stating the fiscal year end of the festival. Added a section about indemnification of directors, officers, and employees with regards to threatened, pending, or completed litigation. Added a paragraph limiting the festival director's personal liability for failure to perform duties. Added a section regarding disclosure of conflicts of interest.”

The search firm gave bench mark salary information from non-profits in the area which indicated that the salary the festival offered was commensurate with the executive director's prior experience. The board also relied on experience and expertise of board members with hr and non-profit experience.”
