“The executive committee performs a detail review of the draft form 990 and approves the filing of form 990, then provides the approved draft form 990 to the full board of trustees prior to the due date of the form 990 each year. The board of trustees ratifies the executive committee's approval at the next scheduled board meeting.”

The board or executive committee determines whether a conflict exists and in the case of an existing conflict, whether the contemplated transaction may be authorized as just, fair, and reasonable to the organization. The decision of the board or executive committee on these matters will rest in its sole discretion, and its concern must be the welfare of the organization and the advancement of its purpose. The conflict of interest disclosure statement will be completed annually.”
