“Members tmt has two members university of california (uc) and california institute of technology (caltech). Governance decisions of the organization including the appointment and number of directors, admission of new members and the terms of such admission are reserved to the members of the organization.”

“Contemporaneous documentation of committee meetings tmt did not have meetings of committees which have the authority to act on behalf of the governing body during the year ended september 30, 2024.”

“Process used by the organization to review form 990 working with pricewaterhousecoopers, llp ("pwc"), the form 990 is prepared. The form 990 is then reviewed by management and the audit committee. Prior to filing with the irs the final form 990 is made available to the full board. Pwc signs the return as paid preparer and electronically files the return with the irs.”

“Conflict of interest policy on an annual basis, tmt distributes conflict of interest letters which the board members and officers complete and return. Management of tmt reviews the returned forms for compliance. If a conflict is discovered it is escalated to the appropriate party within the organization.”

“Process of determining compensation human resources performs an annual review of the compensation of the organization's officers. The annual review process and any changes made to compensation is documented.”

“Organization's mission and program service activity tmt observatory corporation (tmt) is a nonprofit public benefit corporation founded by the regents of the university of california (uc) and california institute of technology (caltech), hereinafter collectively "founding memberswas originally incorporated as the "celt development corporation" on october 30, 2003. The founding members established tmt for the initial purpose of developing the design of a giant segmented mirror telescope, the thirty meter telescope, with the potential of constructing, commissioning and operating an observatory. In addition to the goals and missions as described above, tmt will foster scientific interaction between educational and research institutions to further college and university educational research in astronomy.”
