Governance Explanations

Form 990, Part VI, Section A, Line 7A

The three founding foundations of the organization, the pumpkin foundation, robertson foundation and robin hood foundation, each have the right to appoint one director to the board of directors (each a "founder director"). If a founder director vacates his or her seat before the expiration of the term, such vacancy shall be filled by the appointment of a director by the foundation that appointed the vacating director.

Form 990, Part VI, Section B, Line 11B

The form 990 is prepared by an independent accounting firm. The financial manager and the ceo review the return and then forward to the entire board of directors for their review. Any required changes are made prior to filing with the irs.

Form 990, Part VI, Section B, Line 12C

The organization has a conflict of interest policy applicable to all board members, officers and key employees. All board members, officers and key employees must complete a conflict of interest disclosure form annually. Any changes to their signed statement are required to be disclosed in writing to the director of administration together with all material facts. The statements are then reviewed by the ceo and board chair. Potential conflicts are reviewed by the board chair. The board's independent directors may oversee the adoption, implementation of and compliance with this policy. The board may delegate to a defacto audit or other committee review and approval of any related party transaction involving a related party and the corporation, as contained in this policy; provided that if the related party transaction is of a magnitude that would otherwise require full board approval, the committee shall submit the related party transaction to the board for consideration, providing its recommendation as to whether or not to approve it. In the event the board delegates the review and approval of related party transactions to a committee, all references to board in this policy shall be deemed to refer to such committee and all references to a majority of the board shall be deemed to refer to a majority of such committee. In the event of a conflict, the individual with such conflict is prohibited from participating in the deliberation and decision in the transaction. Deliberation and decisions are recorded in the minutes of the board.

Form 990, Part VI, Section B, Line 15

Part vii, line 15a: the board determines and approves the ceo's compensation, generally on an annual basis. The process includes a mandatory self-evaluation by the ceo and thereafter the board's independent and private review of the ceo's performance, the results of which are then communicated to the ceo. Compensation for a particular period is memorialized in writing from the board chair to the center's director of administration. In determining compensation, the board looks at the ceo's performance, compensation trends in the not-for-profit sector, the financial performance and status of the charter center and compensation trends for center staff, which is provided to the board. While, the board has no fixed rule in this regard, changes in compensation for the ceo has been consistent with compensation trends for center employees. Deliberations and decisions are contemporaneously documented. The compensation is approved by the board and the process was last undertaken in fiscal year 2024. Part vii, line 15b: the coo's compensation is determined by the ceo, with input from the board chair and the compensation committee. All compensation is reviewed by the board as part of their review of the annual budget. Deliberations and decisions are contemporaneously documented. The charter center recognizes the effect of income tax positions only if those positions are more likely than not of being sustained. Management has determined that the charter center had no uncertain tax positions that would require financial statement recognition or disclosure. The charter center is no longer subject to examinations by the applicable taxing jurisdictions for periods prior to fiscal 2021.
