Governance Explanations

Form 990, Part VI, Section B, line 11B

The Finance and Audit Committee of the Board of Directors reviews the Form 990. A copy of the completed Form 990 is provided to all Board members before filing.

Form 990, Part VI, Section B, line 12C

The conflict of interest policy is monitored by scrutiny of CYCLE's transactions by the Executive Director, Treasurer, and a separate accounting staff member. In addition, the President is involved in selecting vendors and establishing terms for key transactions. Full Board approval is obtained for any significant transactions. In the event of a conflict, the Board follows the procedures for addressing conflicts provided in the conflict of interest policy. Interested directors involved in a conflict may not vote on the matter in conflict.

Form 990, Part VI, Section B, line 15A

Board Members determine the Executive Directors' compensation following the process described below: 1. Information is gathered from Board Members and other charities about comparable compensation for persons serving in a similar capacity in different charitable organizations and commercial businesses. 2. The President and key board members assess the performance of the individual. 3. The capabilities and needs of CYCLE are assessed. 4. The proposed salary is presented to the board for approval, and written records documenting the process are retained.

IRS990/Desc0The Year 2024 marked CYCLE's 20th anniversary. During the year, we awarded 7,476 bikes to 2nd grade students who achieved their reading goal, which is a typical year at current fundraising levels and bike costs. CYCLE conducted its customary fundraising programs and conducted its typical building and awarding of bicycles to 2nd graders. Companies continued to donate money and labor at team-building events at NRG in December and throughout the year at company events. Individuals and families also donated time and money to build bikes at our NRG event. Funds were also raised at our Bicycle Ball and other events during the year. Net proceeds were used to buy bikes and helmets and cover expenses.
