Governance Explanations

Form 990, Part VI, Section B, Line 11B

The organization's form 990 is prepared by an outside accounting firm. It is reviewed by the president and the treasurer of the organization. All members of the organization's board of directors receive a complete copy of the form 990 for their review prior to filing.

Form 990, Part VI, Section B, Line 12C

The organization regularly and consistenly monitors and enforces compliance with the conflict of interest policy which is appliable to the board of directors and the executive director. Such persons must annually sign a conflict of interest statement, disclosing any financial interest or family relationships which could give rise to conflicts of interest. The board of directors reviewed the disclosures and determines if conflicts of interest exist. The individual with the potential conflict may not be present during the board's discussion and determination of whether a conflict of interest exists. After exercising due diligence, which may include investigating alternatives that present no conflict, the board determines whether the transaction is in the organization's best interest, for its own benefit, and whether it is fair and reasonable to the organization. The majority of disinterested members of the board may approve the transaction.

Form 990, Part VI, Section B, Line 15A

The executive director assumed the role full-time in 2022. The finance/audit committee used comparable data, including form 990s from comparable youth organizations to determine reasonable compensation for the full-time role and responsibilities. The finance/audit committee recommended his compensation to the full board of directors who approved the decision. The process and approval were documented in the minutes of the board meeting.

Form 990, Part VI, Section C, Line 19

The organization makes its form 990 available for public inspection as required under section 6104 of the internal revenue code. In addition, the financial statements, conflict of interest policy, articles of incorporation, and bylaws are also available upon request.
