The executive committee, if needed, can perform an act of authority on behalf of the governing body. All members of the executive committee are on the governing body (board of directors).

The mayor of the city of manitowoc is able to appoint one member of their city council to our board of directors. That appointment person does have full voting rights.

Form 990, Part VI, Section A, Line 7B

All new board members are first approved by the governance committee prior to them getting final approval by the board of directors. This is the same with board officer elections.

Form 990, Part VI, Section B, Line 11B

The organization has the audit committee review and approve the 990. Once the 990 is approved by the audit committee, the 990 is presented to the board.

All board members, committee members and employees must submit a signed conflict of interest statement. These statements are located at the organization's location, and are available upon request to any board or committee member, in addition they are all provided to the executive director, president and vice president. The conflict of interest statements are revisited annually.

PART X, LINE 2:

U.s. Gaap requires management to evaluate tax positions taken by the organization and affiliate and recognize a tax liability (or asset) if the organization and affiliate have taken an uncertain position that more likely than not would not be sustained upon examination by a taxing authority. Management has analyzed the tax positions taken by the organization and affiliate and have concluded that as of december 31, 2024 and 2023, there are no uncertain positions taken or expected to be taken that would require recognition of a liability (or asset) or disclosure in the financial statements. The organization and affiliate are subject to routine audits by taxing jurisdictions, however, there are currently no audits in progress for any tax period. The organization and affiliate will recognize future accrued interest and penalties related to unrecognized tax benefits in income tax expense if incurred.

THERE WERE 17 INDIVIDUALS WHO PARTICIPANTED IN THIS PROGRAM. THREE OF THE BUSINESSES COMPETED IN OUR PITCH CONTEST AS WELL.
