“The conflict of interest policy applies in situations where a board member or executive committee member (or a family member of a family-owned business) has a financial interest or potential financial interest in a transaction involving gyc. Financial interest includes an ownership, compensation, remuneration, or an investment interest in any entity with which gyc has or is negotiating a business arrangement, where such interest is substantial enough that it could influence the board member or executive committee member's decision, vote or other action. Prohibited conduct by board members and executive committee members: a board member or executive committee member who has a financial interest in a transaction involving gyc may not vote or participate in decision-making activities about such transaction, nor may the board member or executive committee member be counted to establish a quorum for a meeting in which a decision is made. Required board or committee action upon disclosure: the board or committee must require the board member or executive committee member to leave the meeting, discuss the possible conflict of interest in the board member or executive committee member's absence, and determine whether the financial interest would fall within this policy. If the board or a committee determines that a conflict of interest exists or appears to exist, it may take any action it deems appropriate including: - restricting the board member or executive committee member's attendance at any time the matter in question is discussed - appointing non-interested person(s) to examine and report upon the proposed business transaction and alternatives - before approving a proposed business transaction, specifically determining that the transaction is in gyc's best interest and is fair and reasonable. - record in its minutes a thorough summary of the board member or executive committee member's disclosure, the determinations made and actions taken by the board or committee regarding the possible conflict of interest, and the rationale for concluding that the business decision is in gyc's best interest and is fair and reasonable. Each board member and executive committee member shall be given, annually, a copy of the conflict of interest policy.”
