In connection with any actual or possible conflict of interest, and interested person must disclose the existence of the financial interest and be given the opportunity to disclose all material facts to the directors and members of committees considering the proposed transaction or arrangement. Part X : FIN48 Footnote

GCC is a nonprofit public-benefit corporation and has been recognized as tax-exempt pursuant to Section 501(c)(3) of the Internal Revenue code and Section 23701d of the California Revenue and Taxation Code. Accordingly, no provision has been made for income taxes.Management has evaluated its tax positions and the certainty as to whether those positions will be sustained in the event of an audit by taxing authorities at the federal and state levels. The primary tax positions evaluated are related to GCC's continued qualification as a tax-exempt organization and whether there is unrelated business income activities conducted would be taxable. Management has determined that all income tax positions are more likely than not (50%) of being sustained upon potential audit or examination; therefore, no disclosures of uncertain income tax positions are required. GCC files informational returns in the U.S. federal jurisdiction, and the state of California. With few exceptions, GCC is no longer subject to U.S. federal, state, and local examinations by tax authorities for years before 2007.

IRS990/Desc0Gateway Community Charters (GCC) operates six schools and serves over four thousand students in the greater Sacramento area. Each school has its own unique mission and vision but all of the schools serve traditionally underserved student populations. Each school has a free and reduced lunch population of 80 percent or higher with large numbers of English language learners. Two of the schools serve primarily ninth through twelfth grade students who are credit deficient and have other risk factors such as homelessness, teen pregnancy, probation, or foster youth. Each of the schools is accredited through the Western Association of Schools and Colleges. Gateway Community Charters serves as the management organization for the six charters in order to allow the charter school principals and staff to focus on the needs of the students and community. GCC assists the schools with budget management, staff development, payroll, leadership development, personnel, and data management. With the assistance of GCC, each school has shown academic improvement over the last several years. The graduation and student retention rates have increased at the independent study high schools and staff retention has increased as well. At the site based schools, all academic indicators show positive growth. Students and families are extremely satisfied with the schools and overall enrollment has increased from eight to ten percent annually. Although the California State budget has been challenging for schools over the last five to seven years, each of the schools budgets have remained balanced and schools have been able to provide students and families with an excellent education.

Accordingly, no provision has been made for income taxes.Management has evaluated its tax positions and the certainty as to whether those positions will be sustained in the event of an audit by taxing authorities at the federal and state levels. The primary tax positions evaluated are related to GCC's continued qualification as a tax-exempt organization and whether there is unrelated business income activities conducted would be taxable. Management has determined that all income tax positions are more likely than not (50%) of being sustained upon potential audit or examination; therefore, no disclosures of uncertain income tax positions are required. GCC files informational returns in the U.S. federal jurisdiction, and the state of California. With few exceptions, GCC is no longer subject to U.S. federal, state, and local examinations by tax authorities for years before 2007.
