Governance Explanations

Form 990, Part VI, Section A, Line 4

The organization amended their bylaws to include revised language to ensure the board maintains at least fifty-one percent of its governing body's membership for low- and moderate-income residents of its geographic area of operation, owners or senior officers of private establishments and other institutions located in and serving its geographic area of operation, or representatives of low- and moderate-income neighborhood organizations located in its geographic area of operation. Fifty-one percent of the governing body shall also identify as a racial minority or female.

Form 990, Part VI, Section B, Line 11B

Near's form 990 and all related schedules, statements and attachments are reviewed and approved by the treasurer and finance committee of the board prior to filing. Additionally, a copy of the form 990 is provided to the full board of directors, along with an overview of the form, prior to its filing.

Form 990, Part VI, Section B, Line 12C

On an annual basis, board members and key employees complete a questionnaire in which they disclose any known conflicts of interest. Board members and key employees are also asked to provide any updated information should any potential conflicts arise throughout the year. If a potential conflict arises, the executive committee of the board evaluates the impact of the interested person's financial interest, assesses whether a conflict of interest arises from the financial interest and determines what action if any, is necessary to be taken.

Near's executive committee of the board of directors determines and sets the compensation for the executive director. The executive director sets the compensation for the staff. Compensation is based on periodic reviews of staff performance, salary surveys, consultations with independent persons, reviews of comparable data, and deliberation.

Near does not have any employees and is part of a peo. Near staff are technically considered employees of group management services. However, compensation paid for near staffing is reflected in part ix, statement of functional expenses as compensation, salaries, and wages.

Financial Statement Notes

PART X, LINE 2:

Near is exempt from federal and state income taxes on its related activities under internal revenue service code section 501(c)(3). Accordingly, no provision for federal and state income taxes has been made. Near files required federal and state information returns. Whenever tax returns are filed, the filing organization must evaluate the merits of its tax positions and determine if they will be ultimately sustained. Those tax positions for the organization include maintaining their tax-exempt status and the taxability of any unrelated business income. The organization believes these positions are sustainable. Although the organization has not incurred any interest and penalties associated with these positions, it is their policy to expense them in the statement of activities.
