Governance Explanations

Form 990 governing body review Part VI line 11

Form 990 is reviewed by the Executive Director and members of the Executive Committee of the Board of Directors prior to signing and filing with the Internal Revenue Service. Furthermore, the Executive Director and Board evaluates the competency of the person(s) or firm hired to prepare the return and confirms that the return is filed timely. The Executive Director and Board considers this an appropriate fiduciary process, and accordingly, has taken these steps.

Conflict of interest policy compliance Part VI line 12C

The conflict of interest policy is distributed and explained annually to all Board Members. Prior to each discussion and vote, Board Members are asked to disclose any conflicts of interest. For each conflict disclosed to the Chair, the Chair determines what action is necessary. At the very least, the Board Member with a conflict of interest must recuse himself/herself from discussion and voting on the matter at hand. Some conflicts may result in the necessity for the Board Member to resign thier position on the Board of Directors. The organizations Executive Director monitors proposed on-going transactions for conflicts of interest and will disclose any to the Board Chair in order to address potential conflicts, whether discovered before or after the transaction has occurred.

The Executive Committee performs an annual review of the Executive Director, and if the organizations financial condition allows, makes recommendations for salary increases based on amounts paid to Executive Directors of similar organizations. The Executive Committees decisions are documented in minutes that are kept on file.

Other officer or key employee compensation Part VI line 15B

The Executive Director evaluates all other personnel and makes recommendations to the Board of Directors regarding salary and compensation for other personnel based on comparable positions in similar organizations. The organization leases its personnel from an employers network (EIN Resources, LLC) which provides personnel management, benefits management, and filing of all related payroll returns. EIN Resources, LLC utilizes the Hubs personnel policies as provided by the Board of Directors and pays personnel based upon amounts authorized by the Hubs Board.

For Federal tax purposes the Organization is an exempt organization under Section 501(c)3 of the Internal Revenue Code, and was determined not to be a private foundation by the Internal Revenue Service; however, the Organization remains subject to tax on any business income unrelated to its tax exempt purpose.The Organization follows FASB Codification Section 740 Accounting for Uncertainty in Income Taxes (ASC 740). This guidance provides a recognition threshold and measurement process for uncertain tax positions. For the year ended December 31, 2017, there were no uncertain tax positions requiring accrual.

Furthermore, the Executive Director and Board evaluates the competency of the person(s) or firm hired to prepare the return and confirms that the return is filed timely. The Executive Director and Board considers this an appropriate fiduciary process, and accordingly, has taken these steps.

Prior to each discussion and vote, Board Members are asked to disclose any conflicts of interest. For each conflict disclosed to the Chair, the Chair determines what action is necessary. At the very least, the Board Member with a conflict of interest must recuse himself/herself from discussion and voting on the matter at hand. Some conflicts may result in the necessity for the Board Member to resign thier position on the Board of Directors. The organizations Executive Director monitors proposed on-going transactions for conflicts of interest and will disclose any to the Board Chair in order to address potential conflicts, whether discovered before or after the transaction has occurred.
