“The organization is membership based only. There is no stock.”

“There are 15 Board Members; five of whom are are elected to a three year term each year. A Board member may serve no more than 2 consecutive terms. Any Manager's position on the Board that becomes vacant during a term shall be filled by an eligible FLTC member appointed by the President. The appointed member shall serve the remainder of the original term and may be nominated and elected to successive terms as provided in Article VI, Section 2. The Board shall elect Officers at an organizational meeting, to be held within thirty (30) days following the Annual Business Meeting. (See Article VII).”

“Routine management decisions are made by the Board of Managers. The annual budget and any changes or additions to the by-laws, policies and practices require the approval of the general membership at its annual meeting.”

“Committees report to the Board of Managers and have no authority to act on behalf of the organization. In regards to situations where budget expenditures may be exceeded, the President has authority to approve such expenditures up to $250; the Finance Committee has authority to approve up to $500. In the event that an expenditure would exceed the budgeted expense by $500 or more, then approval by the Board of Managers is required. Finance Committee meetings are always documented with minutes. The Executive Committee has the authority to represent the Board of Managers in "time of the essence" or emergency situations. It is extremely rare when such events may occur. 1. Members: The Executive Committee shall be composed of the President, Vice Presidents, Secretary, Treasurer and one (1) at large member elected from the Board by the Board at the organizational meeting. 2. Terms: The term of the Executive Committee members shall be for one (1) year and shall run concurrently with the existing officer terms. 3. Authority: The Executive Committee shall have and may exercise all the powers of the Board when the Board is not in session, except such powers as the Board may specifically reserve to itself. All meetings of the Executive Committee are documented with minutes.”

“This form is prepared by the Treasurer, submitted to the Finance Committee for its review and approval, and then submitted to the Board of Managers for its review and approval.”

“The employees affected by this process are all part-time and they are: Executive Director, Office Manager, and office clerk. The Human Resource Committee regularly reviews comparative compensation data and prepares compensation adjustment recommendations based upon prior year performance evaluations as prepared by the employee's supervisor to the Board of Managers on an annual basis. These recommendations are considered and any adjustments are made by the Board of Managers. Such reviews occurred in November, 2013 and adjustments in compensation were made beginning January 1, 2014.”
