Form 990, Part VI, Section A, Line 6 - CCC has four members: The Diocesan Bishop of the Diocese of Cleveland; the Secretary for Catholic Charities of the Diocese of Cleveland; the Chairperson of the Member of The Sisters of Charity of St Augustine Health System and the President and CEO of The Sisters of Charity of St Augustine. The reserved powers of the Member are to: determine and maintain the philosophy, mission and identity of CCC: amend the Articles of Incorporation and/or Regulations; elect and remove At-Large Directors of the Corporation: approve mergers, consolidations, reorganizations, or dissolution of CCC; initiate and approve the sale, transfer, lease or purchase of real property: approve any non-budgeted debt obligation in excess of $25,000 and any unbudgeted expenditure in excess of $50,000; approve the investment of any surplus: and appoint, set compensation for or remove the President of CCC.
