“Directors and key employees are required to annually disclose any potential conflict of interest. If a conflict of interest arises, the interested person makes a presentation to the audit and finance committee. After the presentation, he/she leaves the meeting during the discussion of, and the vote on, the transaction or arrangement involving the possible conflict of interest. The chairperson of the audit and finance committee, with the approval of the board chair, if appropriate, appoints a disinterested person to investigate alternatives to the proposed transaction or arrangement. After exercising due diligence, the audit and finance committee determines whether the partnership for 21st century skills can, with reasonable efforts, obtain a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest and then reports this information to the executive board. If a more advantageous transaction or arrangement is not reasonably possible under circumstances not producing a conflict of interest, the audit and finance committee reports to the executive board whether the transaction or arrangement is in the partnership for 21st century skills' best interest, for its own benefit, and whether it is fair and reasonable. In conformity with the above determination, the executive board makes its decision as to whether to enter into the transaction or arrangement.”

“Compensation for the executive director was determined by a review committee established by the p21 executive board. The members of this committee utilized data collected from comparably sized non-profits in the dc metro area to determine the compensation of the executive director. The compensation package took into account executive director's education level, experience, and prior year's performance against metrics set by the executive board. The deliberation and decision of the review was documented in the meeting minutes from the call and in the employment contract. The last review took place in october 2017.”
