“On august 26, 2022, the board of directors of the organization determined that it was in the best interest of the organization and it's not-for-profit mission and purpose to transfer control and management of the organization to center for innovation, a maryland non-stock corporation ("cfi"), such transfer to be effectuated by the resignation of the current board of directors and the election of new directors designated by cfi.”

“The form is reviewed by the cfo, then shared with the board for comment, and finally the board chair for signature.”

“The president/ceo monitored compliance with this policy. Conflict of interest forms were completed by all directors, collected and maintained by the president/ceo. Monitoring occurred annually or at any time during the year if a board member/staff had to change their conflict of interest form. The chair of the governance committee reviewed these forms. If a concern had arisen, it would have been brought to the board of directors for consultation. The board chair may request that the board member/staff refrain from the activity or face consequences, including the possibility of termination.”

“Previous and current forms 990 can be made available for public inspection upon request. In addition, the public may obtain the three most recent forms 990 from www.guidestar.org (may require registration).”

“The organization makes its governing documents, conflict of interest and other policies and financial statements available to the public upon request by contacting the executive director or a board member of the organization.”
