Governance Explanations

Form 990, Part VI, Section A, Line 6

The corporation shall have voting members consisting of the directors then serving on the board of directors (the "board") of the corporation (the "voting members"). If any voting member shall cease to be a director for any reason whatsoever, he or she will automatically cease to be a voting member and the person who succeeds him or her in the office of director will forthwith become a voting member.

Each voting member in good standing shall be entitled at every meeting of voting members to one vote on all matters appropriate for consideration by the corporation's membership. Directors elected at any meeting of the voting members shall, except as otherwise provided by law or the certificate of incorporation, be elected by a plurality of the votes cast.
