Mission and Program Overview

Mission

The Franklin Stock Company at Chapel Hall, Inc. was established as a not-for-profit corporation under Section 402 of the Not-for-Profit Corporation Law of New York State to assume ownership of Masonic Hall (formerly known as Chapel Hall) located at 25 Institute Street in Franklin, New York and operate there a professional summer theatre as well as other cultural and community activities, and other charitable functions. Two goals converge in this project. The first is cultural. We aim, through innovative and accessible productions of plays from the classical repertory, as well as some of the finest plays of the 20th century, to stimulate interest in live theatre and to enrich the lives of area residents and visitors. The second goal is the preservation of Franklin's beautiful Chapel Hall, a building listed on the National Register of Historic Places. We want to ensure that the building will continue to serve as a center of community activity as it has for generations.

Governance Explanations

Form 990, Part VI, Line 11B: Form 990 Review Process

It shall be the policy of the Franklin Stock Company at Chapel Hall, Inc. d/b/a Franklin Stage Company (hereinafter "FSC") to have Form 990 reviewed by its Board of Trustees each year prior to filing with the Internal Revenue Service.Said review can be completed during the course of a regularly scheduled FSC meeting at which a quorum is present. In the event no meeting is scheduled prior to the due date of filing Form 990, the Board of Trustees may review and approve said form electronically with all approvals being forwarded to the Treasurer and/or Executive Director of FSC.

Form 990, Part VI, Line 12C: Explanation of Monitoring and Enforcement of Conflicts

Each director, principal officer, and member of a committee with Board delegated powers shall annually sign a statement, which affirms that such person:a)Has received a copy of the Conflict of Interest Policy of the Corporation;b)Has read and understands that Policy;c)Has agreed to comply with that Policy; d)Understands that the Corporation is a charitable organization and that in order to maintain its federal tax exemption it must engage primarily in activities which accomplish one or more of its tax-exempt purposes; ande)Discloses any potential conflicts of interest in writing.On an annual basis, all transactions discussed and identified as Conflicts of Interest will be evaluated by the disinterested persons as to whether the transaction meets the requirements of a fair and reasonable transaction in accordance with the NYS Attorney General's guidance.

Form 990, Part VI, Line 15A: Compensation Review & Approval Process - CEO, Top Management

The Executive Committee must determine before the compensation of any senior officer is changed, that the compensation to be paid to the officer is reasonable. When determining whether an officer's compensation or any change to an officer's compensation is reasonable, the Executive Committee must compare the compensation to be paid to the officer with the compensation paid to the equivalent senior officers from charitable cultural organizations operating in metropolitan areas that have comparable revenues, employees and service populations.The Executive Committee must obtain this comparison data from an expert source or from industry surveys conducted by an independent source. If no independent source is available, the Executive Committee may obtain comparable data by documenting the compensation paid to officers holding similar positions in similar organizations.

The Franklin Stock Company at Chapel Hall, Inc. is a tax-exempt organization under Section 501 (c)(3) of the Internal Revenue Code and similar New York State laws and, as such, is not subject to Federal or State income taxes. In addition, the Company qualifies for the charitable contribution deduction under Section 170(b)(a)(2) and has been classified as an organization other than a private foundation under Section 509(a)(2).The Company reviews the components of revenues, gains, and other support and analyzes whether the position that the Company takes with regard to a particular item of income would meet the definition of an uncertain tax position under GAAP.The Company files income tax returns in the U.S. federal and state jurisdiction. The tax years that remain subject to examination by taxing authorities are generally the previous three years.

IRS990/MissionDesc0The Franklin Stock Company at Chapel Hall, Inc. was established as a not-for-profit corporation under Section 402 of the Not-for-Profit Corporation Law of New York State to assume ownership of Masonic Hall (formerly known as Chapel Hall) located at 25 Institute Street in Franklin, New York and operate there a professional summer theatre as well as other cultural and community activities, and other charitable functions. Two goals converge in this project. The first is cultural. We aim, through innovative and accessible productions of plays from the classical repertory, as well as some of the finest plays of the 20th century, to stimulate interest in live theatre and to enrich the lives of area residents and visitors. The second goal is the preservation of Franklin's beautiful Chapel Hall, a building listed on the National Register of Historic Places. We want to ensure that the building will continue to serve as a center of community activity as it has for generations.

In addition, the Company qualifies for the charitable contribution deduction under Section 170(b)(a)(2) and has been classified as an organization other than a private foundation under Section 509(a)(2).The Company reviews the components of revenues, gains, and other support and analyzes whether the position that the Company takes with regard to a particular item of income would meet the definition of an uncertain tax position under GAAP.The Company files income tax returns in the U.S. federal and state jurisdiction. The tax years that remain subject to examination by taxing authorities are generally the previous three years.

In the event no meeting is scheduled prior to the due date of filing Form 990, the Board of Trustees may review and approve said form electronically with all approvals being forwarded to the Treasurer and/or Executive Director of FSC.
