“The executive committee is made up of the chairs of each board committee, along with the immediate past board chair. All of the members are on the board. While virtually all decisions go to the board for final approval, the executive committee can act as a decision-making group per the bylaws.”

Ann's finance team, including the director of finance and cfo, and provided to ceo and board members prior to review at the board meeting. Ann's interest and his or her personal interest.”
