Michael cropp, stuart angert, and john rodgers have a business relationship (board members of an affiliated taxable entity).

The ihf by-laws and certificate of incorporation were amended/restated in december 2012, and were effective april 15, 2013 when filed with the state of new york. The foundation's executive committee determined that it would be in the best interest of the foundation to become a type i supporting organization. The irs required certain changes to these governing documents in order for the foundation as to qualify as a type i supporting organization. The changes to the certificate of incorporation relate to expressly limiting the purpose of the foundation to benefit, perform the functions of and carry out the purposes of iha, the supported organization. In addition, other technical changes were made to the certificate of incorporation to provide that the foundation is operated exclusively for charitable and educational purposes within the meaning of certain code sections and to prohibit certain activities if the foundation was ever classified, for tax purposes, as a private foundation. The activities and operations of the foundation have not changed as a result of the amendments. The changes to the bylaws reflect the irs's requirement that the foundation be controlled by iha, the supported organization, and not any other entities. Therefore, the bylaws now expressly state that iha, alone as sole member, appoints directors of the foundation. In order to avoid any conflict with the restated certificate of incorporation, the purposes section of the bylaws was removed. The bylaws were also amended to simplify the membership article in light of iha serving as the sole member of the foundation; to reflect certain requirements with respect to presenting annual reports to iha, as required under new york not-for-profit corporation law; and to make other conforming changes.

Independent health foundation's (ihf) conflict of interest reporting policy encompasses all current ihf officers/employees (including key employees) of the organization. Employees are required as part of their employment with ihf to immediately report conflicts of interest that they are party to or that they observed, to a member of the board of directors of independent health foundation. The board of directors may make the determination that a conflict of interest exists and will review the actual conflict as conflicts are reported to them. Conflicts are also identified annually when the signed employee attestations, confidential questionnaires & pledge of confidentiality and continuing disclosure form (for bod members) are received. If a conflict of interest is identified, the individual is prohibited from participating in the deliberations or decisions related to this transaction.

THE CHALLENGE ENCOURAGES CHILDREN TO COMPLETE HEALTH AND FITNESS ACTIVITIES AND ADOPT HABITS TO ENSURE HEALTHY FUTURES. THE PROGRAM INCLUDES REWARDS, INCENTIVES, A SCHOOL COMPETITION, AND COMMUNITY-WIDE EVENTS. THIS INITIATIVE HAS REACHED OVER 70,000 YOUTH TO DATE WORKING DIRECTLY WITH NEARLY 200 ELEMENTARY AND MIDDLE SCHOOLS.SOCCER FOR SUCCESS IS A FREE AFTERSCHOOL SOCCER PROGRAM THAT IS PROVIDED TO CITY OF BUFFALO ELEMENTARY SCHOOLS. THE PROGRAM FOCUSES ON THE ESSENTIALS OF SOCCER, NUTRITION EDUCATION, AND COACH MENTORSHIP TO THE STUDENTS. IT IS A CURRICULUM DEVELOPED BY THE U.S. SOCCER FOUNDATION. IT SERVED APPROXIMATELY 1,000 KIDS THROUGHOUT THE ACADEMIC YEAR. 50 VOLUNTEERS ASSISTED WITH THIS INITIATIVE IN 2013.FIRST NIGHT BUFFALO HAS BEEN A COMMUNITY-WIDE TRADITION IN WESTERN NEW YORK FOR MORE THAN 20 YEARS. THIS DRUG- AND ALCOHOL-FREE, FAMILY FRIENDLY EVENT ATTRACTS THOUSANDS OF PEOPLE TO DOWNTOWN BUFFALO. FIRST NIGHT BUFFALO FEATURES A VARIETY OF LOCAL AND MULTI-CULTURAL ENTERTAINMENT AT AN AFFORDABLE COST. IT HAS SERVED APPROXIMATELY 5,000 PEOPLE. 100 VOLUNTEERS ASSISTED WITH THIS INITIATIVE IN 2013. THE VOLUNTEERS ARE ASKED TO MONITOR CROWDS, DISTRIBUTE BROCHURES, ASSIST WITH GAMES, EVENT SET-UP OR TAKE-DOWN, COMMUNICATIONS, OR WEAR A CHARACTER COSTUME.KIDS RUN WAS CREATED TO ENCOURAGE FAMILIES TO EXERCISE AND STAY ACTIVE TOGETHER AND SERVED APPROXIMATELY 4,500 PEOPLE. THIS FREE EVENT HAS GROWN CONTINUALLY EACH YEAR. TROPHIES ARE AWARDED TO TOP RUNNERS, AND ALL PARTICIPANTS RECEIVE A MEDAL. THE EVENT TARGETS THE ENTIRE WNY COMMUNITY INCLUDING FAMILIES THAT ARE OFTEN LACKING THE OPPORTUNITY TO PARTICIPATE IN PHYSICAL ACTIVITIES. KIDS RUN DEMONSTRATES THE IMPORTANCE OF LIVING A HEALTHY LIFESTYLE. 40 VOLUNTEERS CONTRIBUTED TO THIS INITIATIVE IN 2013.THE PAIN MANAGEMENT CME IS AN EDUCATIONAL SEMINAR ENTITLED "PAIN MEDICINE FOR NON PAIN SPECIALISTS". THIS FORUM HAD 120 ATTENDEES AND WAS ORGANIZED TO PROVIDE A COMPREHENSIVE REVIEW OF THE BASIC SCIENCE OF OPIOIDS AND ADDICTION, CLINICAL ASPECTS OF OPIOID PRESCRIBING AND THE LEGAL IMPLICATIONS IN EVERYDAY PRACTICE. BY THE END OF THIS PROGRAM PARTICIPANTS ARE ABLE TO: 1. OUTLINE THE BASIC SCIENCE AND CLINICAL APPLICATION RELEVANT TO THE PRACTICE OF PAIN MANAGEMENT MEDICINE.2. USE THE RESOURCES AND TOOLS PROVIDED TO OBJECTIVELY PRESCRIBE OPIOIDS FOR CHRONIC PAIN.3. DISCUSS THE LEGAL IMPLICATIONS IN OPIOIDS PRESCRIBING.THE HEALTHY OPTIONS PROGRAM WORKS WITH AREA RESTAURANTS TO ANALYZE AND MODIFY MENU ITEMS INTO HEALTHY ALTERNATIVES AND HELPS EDUCATE OUR COMMUNITY TO MAKE MORE INFORMED DECISIONS WHEN DINING OUT. THERE ARE OVER 80 LOCAL RESTAURANTS PARTICIPATING IN OUR PROGRAM. HEALTHY OPTIONS PARTNERS WITH THE TASTE OF BUFFALO TO MANDATE THAT EACH PARTICIPATING RESTAURANT OFFERS AT LEAST ONE HEALTHY OPTION TO SHOWCASE GREAT-TASTING, HEALTHY CHOICES. HEALTHY OPTIONS IS PRIMARILY THE TASTE OF BUFFALO, A JULY EVENT. GOOD FOR THE NEIGHBORHOOD IS A COMMUNITY-BASED WELLNESS INITIATIVE THAT BRINGS HEALTHY LIVING TRAINING AND LEARNING TOOLS TO AT-RISK NEIGHBORHOODS WHERE ACCESS TO HEALTHCARE IS LIMITED DUE TO SOCIAL AND ECONOMIC BARRIERS.
