Mission

Governance Explanations

Form 990, Part VI, Section A, Line 8B

Heritage oak foundation has an executive committee made up of the chair, vice-chair, secretary and treasurer however there were no meetings that occurred outside of the regular board of directors meetings during 2013.

Form 990, Part VI, Section B, Line 11

The 990 is presented in draft form to the members of the governing body of heritage oak foundation, inc. After it has been reviewed by agency fiscal personnel. Each member has the opportunity to review the return and suggest any changes prior to filing with the internal revenue service.

Form 990, Part VI, Section B, Line 12C

Heritage oak foundation's conflict of interest policy: a conflict of interest form is to be completed annually by each board member or updated if a change occurs subsequent to completion. Completed forms shall be presented to the board chairman to be reviewed with the other officers of the organization and then filed in the corporate records. Each board member should also retain a completed copy of this form. A board member may be considered to have a conflict of interest if: (a) such board member has an existing or a potential financial interest which impairs or might reasonably appear to impair such member's independent, unbiased judgment in the discharge of his/her fiduciary responsibility to the organization. (b) such member is aware that a member of his/her family (which, for purposes of this document, shall be spouse, child, parent, grandparent, sibling, stepchild, stepparent, father/mother-in-law, brother/sister-in-law, uncle or aunt) or any organization which such member (or member of his/her family) is an officer, trustee, employee, member, partner, shareholder, board member, has such existing or potential financial or other interest. All members shall disclose to the board of the organization any possible conflict of interest at the earliest practical time. No board member shall vote on any matter, under consideration by the board or a committee of the board, in which member has a conflict of interest. The minutes of such meeting shall reflect that a disclosure was made and that the member having the conflict of interest abstained from both the deliberations and from voting on the issue. Any member who is uncertain whether he/she has a conflict of interest in any matter shall request the board or committee to determine whether a conflict of interest exists and the board or committee shall resolve the question by majority vote. Any other member may request such member to leave the room during deliberations and voting, and such request shall be honored. Each disclosure will be reviewed and assessed on an individual basis. In the event heritage oak foundation is required, pursuant to regulations, to disclose information on this statement, the information will be discussed with the board member prior to the disclosure being made

Form 990, Part VI, Section B, Line 15

The foundation does not have any wages on its books for these individuals. These wages are charged over to the foundation and are included in management fee expense. See separate heritage centers 990 for information regarding compensation on top management employees.

Form 990, Part VI, Section C, Line 19

The organization makes its form 990 availiable to the public upon request over the phone, in writing and via e-mail. The organizations governing documents, conflict of interest policy, and financial statements are not available to the public.

FORM 990, PART VII, SECTION A:

Heritage centers, an affiliated organization, pays for the wages of the assistant executive director of finance who acts as the financial officer for heritage oak foundation. Heritage centers charges a management fee to heritage oak foundation for these services. In addition, heritage centers employs one of the foundation's board members, michael gross. Heritage centers and heritage oak foundation are not considered related entities for 990 purposes and since heritage oak foundation did not issue the w-2 to these employee, no amounts were reported on part vii, section a for these individuals. The wages for the chief operating officer are paid by heritage centers (common paymaster) and then heritage oak foundation reimburses heritage centers. Again, since the companies are not considered related for 990 purposes and heritage oak foundation did not issue the w-2 to this employee, none of her wages were reported on part vii, section a. If amounts were to be reported on this schedule, they would be as follows: edward cassidy $113,563 reportable compensation per w-2 and $14,319 other compensation. Please note that only a portion of this is charged over to heritage oak foundation in the management fee since he also has responsibilities at heritage centers. Elizabeth simons $64,624 reportable compensation per w-2 and $2,563 other compensation. Her wages are reported on line 5 on part ix. Michael gross $176,904 reportable compensation per w-2 and $4,749 other compensation.

Financial Statement Notes

PART V, LINE 4:

The foundation's endowment consists of the enrichment fund whose purpose is to provide financial stability for the services and programs that benefit individuals with developmental disabilities served by the center. Its endowment includes both donor-restricted endowment funds and funds designated by the board of directors to function as endowments. Net assets associated with endowment funds, including funds designated by the board of directors to function as endowments, are classified and reported based on the existence or absence of donor-imposed restrictions.

PART X, LINE 2:

Heritage oak foundation is exempt from taxation under section 501(c)(3) of the internal revenue code. It is highly certain that some positions taken for income tax purposes would be sustained upon examination by the taxing authorities, while others are subject to uncertainty about the merits of the position taken or the amount of the position that would be ultimately sustained. The benefit of a tax position is recognized in the combined financial statements in the period during which, based on all available evidence, management believes it is more likely than not that the position will be sustained upon examination, including the resolution of appeals or litigation processes, if any. The information returns for the tax years 2010 through 2013 remain subject to examination by the internal revenue service for u.s. Federal tax purposes and also by new york state for state tax purposes.

THIS SUPPORT IS ACCOMPLISHED BY SECURING MONETARY DONATIONS, RESOURCES, PLANNED GIVING OPPORTUNITIES, GIFTS-IN-KIND, AND CORPORATE SPONSORSHIPS FROM THE COMMUNITY AND OTHER FUNDERS. CURRENTLY THE FOUNDATION ACCOMPLISHES THEIR MISSION BY PROVIDING A MAJORITY OF THEIR SUPPORT TO HERITAGE CENTERS AN AFFILIATED ORGANIZATION WHOSE MISSIONS IS: TO SUPPORT CHILDREN AND ADULTS WITH DISABILITIES, AND THEIR FAMILIES, IN ACHIEVING THEIR DESIRED QUALITY OF LIFE BY CREATING OPPORTUNITIES THROUGH COMPREHENSIVE SERVICES TO IMPOROVE THE QUALITY OF THEIR LIFE IN EVERY MANNER POSSIBLE.

THIS SUPPORT IS ACCOMPLISHED BY SECURING MONETARY DONATIONS, RESOURCES, PLANNED GIVING OPPORTUNITIES, GIFTS-IN-KIND, AND CORPORATE SPONSORSHIPS FROM THE COMMUNITY AND OTHER FUNDERS. CURRENTLY THE FOUNDATION ACCOMPLISHES THEIR MISSION BY PROVIDING A MAJORITY OF THEIR SUPPORT TO HERITAGE CENTERS AN AFFILIATED ORGANIZATION WHOSE MISSIONS IS: TO SUPPORT CHILDREN AND ADULTS WITH DISABILITIES, AND THEIR FAMILIES, IN ACHIEVING THEIR DESIRED QUALITY OF LIFE BY CREATING OPPORTUNITIES THROUGH COMPREHENSIVE SERVICES TO IMPOROVE THE QUALITY OF THEIR LIFE IN EVERY MANNER POSSIBLE.
