The legal affairs department then reviews the directors' disclosures, prepares a chart listing each one and provides a copy of the chart to the audit committee of the board of directors and each director so that all directors are made aware of all directors' potential conflict of interest. When an issue comes before the board of directors, the affected director must recuse himself/herself from all related votes or approvals.”
