“It is a general practice for the fiscal committee to review the form 990 but the organization does not have a formal policy of reviewing form 990 prior to it being filed.”

“The organization has adopted "code of conduct and confidentiality agreement" for staff of the community action program. This policy defines a conflict of interest and describes steps to be taken when a conflict on interest occurs. A form is also provided for employees to disclose actual or potential conflicts of interest. The signature form and disclosure of affiliations form are signed and kept on file. Staff trainings also reemphasize this responsibility. The organization also has adopted a "conflict of interest policy for the board of directors". This policy defines what a conflict is; the required action by the board and authority to enforce the conflict of interest policy. All covered persons will review this conflict of interest policy and sign a statement that declares no conflict of interest currently exists. All covered persons also agree to immediately disclose any conflicts of interest and each covered person who has a conflict of interest shall abstain from any vote or action involving the person, issue or entity with whom they have a conflict of interest. A failure to comply with this policy shall constitute a violation of the corporate conflict of interest policy and shall be cause for termination of the individual from the board of directors. The authority to enforce the conflict of interest is with the board of directors.”

“The board of directors hire the executive director, who reports directly to the board of directors. Periodically, they evaluate the organization's executive director as well as determine the compensation pay. On an annual basis or as needed during the year, the board also approves the organization's pay schedule that outlines the organization's compensation schedule for its employees.”

“The organization's documents that are required to be disclosed are available to the public upon request to the fiscal officer”

“The fiscal committee of the board of directors is required to fulfill the board's fiduciary oversight responsibilities. The committee is responsible for appointment of and communication with the organization's independent auditors. The committee is also responsible for reviewing, discussiong, and accepting the auditor's written reports. In addition, committee would make policy and other recommendations to the organization's board of directors regarding matters arising out of the audit.”
