Governance Explanations

Form 990, Part VI, Section B, line 11B

The Form 990 is reviewed by the Audit, Finance, and Investments Committee, Executive Director, and Finance Director before being filed. A draft is also made available to each Board Member to review before being filed.

Form 990, Part VI, Section B, line 12C

The Governance Committee of the Board is responsible for recruiting, screening, interviewing, and selecting individuals qualified to become Board members to stand for election to the Board at the Annual Meeting. In its review process, the Governance Committee assesses, among other things, if the candidate is free of conflicts of interest that would interfere with their ability to discharge their duties as a Board member or would violate any applicable law or regulation. Prior to the initial election of a director, such person must complete, sign, and submit a written statement identifying any potential conflict. Thereafter, on an annual basis, a director must sign an Affirmation of Compliance and Disclosure Statement. The director is also under a continuing obligation to disclose any potential conflict of interest by filing a supplemental Disclosure Statement, as soon as a potential conflict of interest is known or reasonably should be known. Officers and Key Employees also are required to identify potential conflicts and submit annual Disclosure Statements. The Governance Committee of the Board oversees the implementation, and compliance with, the Conflict of Interest Policy. The Disclosure Statements are reviewed by the Governance Committee. The Committee makes determinations with respect to conflicts of interest and Related Party Transactions. The person with a conflict of interest cannot be present at or participate in the Committee's deliberations or voting on the matter giving rise to the conflict. The minutes of the Committee's meeting at which a conflict of interest or Related Party Transaction is discussed or voted upon documents in detail the existence and resolution of the conflict.

Form 990, Part VI, Section B, line 15A

The compensation for the Executive Director is determined annually by the Board of Directors, in an executive session, at which time the Directors review various data, including comparability data, and make a decision. Their deliberations and approval are contemporaneously substantiated in the minutes of the meeting. The salaries of other key employees and all other employees are approved annually by the Board of Directors during the budget approval process. In general, once established, the base salaries are thereafter reviewed for annual increases. During the course of the year, the Executive Director, in consultation with the Human Resources director, may, from time to time, make modest changes to an employee's salary to reflect changes in job responsibilities or to make market adjustments. Such changes and their impact on the budget are reported to the Audit, Finance, and Investments Committee in a timely manner.

Financial Statement Notes

Part IV, Line 2B:

The custodial account balance is made up of income from earnings of youth in the program. The Center encourages them to invest and deposit their savings with the Center, and the dollars are given back when they leave the program.

Part V, Line 4:

The Center uses the earnings on the permanent endowment for major capital projects or recurring operational needs. The specific expenditures of the funds are determined on a case-by-case basis by the Audit, Finance, and Investments Committee in consultation with the Center's management, and in accordance with applicable New York State law and the Center's spending policy.

IRS990/Desc0School Based Programs:The Center's school-based programs work with youth and families to enhance school stability, connectedness, and improved attendance, which leads to academic success and graduation. These programs include: Alternatives to Suspension, Crisis Intervention/Help Zone, Expanded Learning Opportunities, and Prevention Education Services. The programs are offered at both elementary and secondary schools in the City of Rochester, New York, in school sites throughout Monroe County, most notably in Greece and Penfield, in charter schools and in contiguous counties throughout New York State.(Continued on Schedule O) Alternatives to Suspension programs are designed to reduce short-term out-of-school suspensions, minimize disruptive behavior, and keep students on track with their academics. Crisis Intervention/Help Zone programs support the academic and interpersonal success of students by providing immediate crisis response, offering an individualized intervention for social and emotional behaviors, and providing parental engagement opportunities in crisis situations as well as prevention and intervention opportunities. Expanded Learning Opportunity programs provide academic enrichment and recreational opportunities with the goal of improved attendance, increased academic success, and fostering well-rounded youth. The Prevention Education Services Program provides research-based, interactive workshops geared towards schools and youth organizations to help children and teens to make informed, healthy decisions. Workshop topics include: communication, alcohol and drug awareness, prejudice, depression and suicide, sexuality, and conflict resolution. This past year, The Center served youth in 83 schools in the Monroe, Livingston and other surrounding counties. EarthWorks is committed to engaging students in the natural world to unlock the curiosity that drives independent learning. We do this through expeditionary, hands-on learning and play; where we allow children to explore, understand and interpret the world around them. Our programs range from seasonal forest school, wilderness survival classes, outdoor classroom instruction and garden education. Each class will include elements of outdoor play, practical skill building, survival techniques and hands-on learning opportunities. Students who join us will be encouraged to cooperate, problem solve and work together to reach success. Strings for Success (SFS) is a free, inclusive, and innovative instrumental strings program available to all students in grades 2-8 at the Dr. Charles T. Lunsford School 19 in the Rochester City School District. In addition to high-quality music instruction, SFS students participate in ensembles, performances, field trips, and learning opportunities with visiting artists from Rochester and beyond. Strings for Success is offered during the school day so that all interested students can participate.These program includes funding by contributions and government grants in the amount of $2,271,341.
